Shutdown. During any period when all or any portion of the Individual System is shut down (i) because of maintenance, repairs, or Force Majeure, (ii) because such shutdown is necessary to avoid injury or harm to Persons or property, to the environment or to the integrity of all or any portion of the Individual System or (iii) because providing Services hereunder has become uneconomic as further described in Section 13.2, Midstream Co may interrupt or curtail receipts of Producer’s Product and the Product of other producers as set forth herein. In such cases, Midstream Co shall have no liability to Producer (subject to Section 11.1(b)) for its failure to receive Product, except to the extent such shutdown is caused by the negligence, gross negligence or willful misconduct of Midstream Co. If Midstream Co is required to so interrupt or curtail receipts of Product, Midstream Co will advise (by telephone, following up by writing, which writing may be in the form of electronic mail) Producer of such interruption or curtailment as soon as practicable or in any event within twenty-four hours after the occurrence of such event.

Shutdown. Initiate a shutdown sequence when an event occurs. A shutdown sequence is only initiated by events which are of severe-level and warning-level type.  Initiated: Determines whether to request that the computer be shut down based on the delay before initiating the shutdown sequence. The shutdown will be canceled if the event is cleared during this delay time. The minimum delay time to initiate shut down is based on the time set for the execution of the other actions to complete. This includes the notify delay time, command delay time and command execution time.
Shutdown. (a) A shutdown, (other than a vacation shutdown, physical inventory or layoff), of the plant or any department will only be incurred once in a calendar year during the duration of this agreement. Additional shutdowns in the calendar year will not occur without the agreement of the Union.

When Client connects to a PDU outlet, the shutdown time must be set properly to avoid the delay-off time of the connected inability to support a complete shutdown. When a PDU performs a sequenced off/reboot action, each outlet has a specified delay time (delay-off) before it is turned off. This delay time must be greater than the Necessary shutdown time required by a Client computer. The Client will communicate with the PDU to verify whether this delay time is sufficient. If the delay time is insufficient a warning message will display. The user can expand it and configure the outlet delay-off of the PDU or configure it in the PDU web interface manually. The warning message will be visible until these options are setup properly.

If Midstream Co is required to so interrupt or curtail receipts of Product, Midstream Co will advise (by telephone, following up by writing, which writing may be in the form of electronic mail) Producer of such interruption or curtailment as soon as practicable or in any event within 24 hours after the occurrence of such event.
Shutdown. In the event of an imminent danger in relation to the facility safety envelope or a non-imminent health and safety hazard identified by facility line managers, facility operators, health and safety personnel overseeing facility operations, or by independent oversight organizations, the individual or group identifying the potential health and safety hazard may recommend facility shutdown in addition to any immediate actions needed to mitigate the situation. However, the recommendation must be coordinated with contractor management, and the PPPO Manager. Any written direction to suspend operations shall be issued by the Company Representative, pursuant to the Section F Clause, FAR 52.242-15, Stop-Work Order.

Shutdown. When the game is interrupted due to reasons unrelated to the player, affecting the entire system, and due to the malfunction the gaming session cannot be restored, then the moment of shutdown is considered the ending of the game. Any accumulated amounts (e.g. during a xxxxxx function) will be automatically returned to the player.
