Shipment Terms; Title and Risk of Loss. The Finished Products shall be shipped from MYT's Nagano plant FOB Nagano (as defined in the 1990 INCO Terms, except that the term is not limited to sea or inland waterway transport). Title and risk of loss for a Finished Product passes to DT when MYT delivers the Finished Product to the carrier for shipment to DT or its designated customer. If DT's customer for Finished Products is MYT, then title and risk of loss for a Finished Product passes first to DT upon completion of the manufacturing processes for such Product, then to MYT upon receipt by DT of written notice of completion of the Product by MYT.

Shipment Terms; Title and Risk of Loss. All Products acquired by Buyer under this Agreement will be suitably packaged for shipment in Supplier’s standard containers, marked for shipment to Buyer at the address specified in the Purchase Order, and delivered to Buyer or the forwarding agent selected by Buyer. Shipment of Products under this Agreement shall be F.O.B. destination. Supplier shall use its commercially reasonable efforts to ship Products to Buyer on or before the requested delivery date designated in a Purchase Order. Any expense for any special packaging or any special delivery requested by Buyer shall be borne by Buyer. Supplier shall advise Buyer regarding any such extraordinary packaging or delivery expenses in advance and Buyer shall agree to same before incurring any liability for such expenses. As used in this AGREEMENT, the term “DELIVERY” and its derivatives mean delivery as specified in INCOTERMS 2000. SELLER shall retain title and risk of loss for GOODS in accordance with these terms, except that SELLER will retain the additional responsibility of loading the GOODS at SELLER’s facility in appropriate packaging on transportation provided by BUYER in accordance with this AGREEMENT, at which point title of GOODS will transfer to BUYER. Other materials, including raw materials purchased by SELLER, co-products, wastes and residues resulting from the production of GOODS shall be the property of SELLER.
