Shipment and Title. The shipment terms unless stated otherwise in Brentwood’s Proposal will be EXWORKS. Risk of loss and title transfer at Brentwood’s facility. Brentwood may, without liability or penalty, make partial shipments of Products to Purchaser.

Shipment and Title. The term "shipment" means delivery to the initial carrier in accordance with the delivery terms of the shipping order. Seller may make partial shipments. All shipments made by Seller shall be FCA Marlborough, Massachusetts, unless otherwise stated on the face hereof. Seller shall select the method of transportation and route of any shipment, unless Buyer specifies the method and route and is to pay freight cost in addition to the price. If any shipment is FCA destination or freight allowed to destination, "destination" means common carrier delivery point (within the continental United States, excluding Alaska and Hawaii) nearest the destination. For shipment outside the United States, the Seller shall arrange for inland carriage to a port of exit, and Buyer shall be responsible for overseas carriage and preparation of any necessary, related documentation. Seller shall cooperate with Xxxxx's agents in making such arrangements and preparing such documents. Title to all goods sold hereunder, and, except as provided in Item 7 hereof, risk of loss or damage thereto, shall pass to Buyer at the point of manufacture.
Shipment and Title. If the Products are to be shipped within the continental U.S. from a point of origin in the U.S., the applicable delivery term for the Products is F.O.B. (Neogen’s facility), unless otherwise stated on the order acknowledgement or quotation to which these terms relate. If the Products are being shipped outside the continental U.S., the applicable delivery term for the Products is DAF (Port of Entry identified on the face of the order acknowledgement or quotation accompanying these terms and conditions) (Incoterms 2000 version). Freight and associated duties incurred by Neogen in shipping the Products will be invoiced to Buyer.

Shipment and Title. All shipping dates provided are estimates only. Seller shall attempt to comply with, but will not guarantee, shipping date(s) set forth on Seller’s most recent quotation or order acknowledgement. Default or delay by Seller in shipping or delivering the whole or any part or installment of any products and any included firmware, hereafter referred to as “Product(s)” hereunder shall not affect any other portion thereof. In the event of a default by Buyer, Seller may decline to make further shipments without waiving any of its rights under such order. If, despite such default, Seller elects to continue to make shipment, its action shall not constitute a waiver regarding, or otherwise diminish, Seller’s legal remedies with respect to such default or any future default. Sales are made FCA factory, Fort Xxxxxxx, CO, Incoterms 2010. Title to and risk of loss or damage shall pass from Seller to Buyer upon the availability of the Products at Seller’s factory, in good condition, packed and available for pickup by Buyer’s common carrier. If for any reason Buyer is not prepared to accept delivery of Products, Seller may store the Products at Buyer’s expense and risk in the name of Buyer, and such storage shall constitute shipment and delivery to Buyer.
