Common use of Shares Offered Clause in Contracts

Shares Offered. The Company proposes to issue and sell to the Underwriters an aggregate of 1,600,000 shares of its authorized and unissued common stock, $0.01 par value per share (the "Common Stock") (the "Firm Shares"). The Selling Stockholder proposes to grant to the Underwriters an Option (hereinafter defined) to purchase up to an additional aggregate of 240,000 shares (the "Option Shares") of Common Stock on the terms and for the purposes set forth in Section 4(b) hereof. The Firm Shares and the Option Shares are hereinafter sometimes together called the "Shares."
