Common use of Shareholder Agreements Clause in Contracts

Shareholder Agreements. As a material inducement to Parent to enter into this Agreement, and simultaneously with, the execution of this Agreement, each Shareholder (as defined herein) is entering into an agreement, in the form of Annex A hereto (collectively, the "Shareholder Agreements"), pursuant to which they have agreed, among other things, to vote their shares of Company Common Stock in favor of this Agreement.

Shareholder Agreements. As a material inducement to Parent to enter into this Agreement, and simultaneously with, the execution of this Agreement, each Shareholder (as defined herein) is entering into an agreement, in the form of Annex A hereto (collectively, the "Shareholder Agreements"), ) pursuant to which they have agreed, among other things, to vote their shares of Company Common Stock in favor of this Agreement.

Shareholder Agreements. As a material inducement to Parent to enter into this Agreement, and simultaneously with, with the execution of this Agreement, each Shareholder (as defined herein) is entering into an agreement, in the form of Annex A hereto (collectively, the "Shareholder Agreements"), ) pursuant to which they have agreed, among other things, to vote their shares of Company Target Common Stock (as defined herein) in favor of this Agreement.

As a material inducement to Parent and First Community Bank to enter into this Agreement, and simultaneously with, with the execution of this Agreement, each Shareholder (as defined herein) is entering into an agreement, in the form of Annex A hereto (collectively, the "Shareholder Agreements"), ) pursuant to which they have agreed, among other things, to vote their shares of Company CommonWealth Bank Common Stock (as defined herein) in favor of this Agreement.

As a material inducement to Parent to enter into this Agreement, and simultaneously with, with the initial execution of this Agreement, each Shareholder (as defined herein) is entering entered into an agreement, in the form of Annex Exhibit A hereto hereto, (collectively, as amended and restated in connection with the amendment, redesignation and restatement of this Agreement, the "Shareholder Agreements"), pursuant to which they have agreed, among other things, to vote their shares of Company Common Stock in favor of this Agreement.

Shareholder Agreements. As a material inducement to Parent Acquiror to enter into this Agreement, and simultaneously with, with the execution of this Agreement, each Shareholder (as defined herein) is entering into an agreement, in the form of Annex A B hereto (collectively, the "“Shareholder Agreements"), ”) pursuant to which they have agreed, among other things, to vote their shares of Company MortgageIT Common Stock (as defined herein) in favor of this AgreementAgreement and the Agreement and Plan of Merger and Liquidation (each as defined herein).

Shareholder Agreements. As a material inducement to Purchaser Parent and Purchaser Bank to enter into this Agreement, and simultaneously with, with the execution of this Agreement, each Shareholder (as defined herein) is entering into an agreement, substantially in the form of attached hereto as Annex A hereto (collectively, the "“Shareholder Agreements"”), pursuant to which they have agreed, among other things, both to vote their shares of Company Common Seller Capital Stock in favor of this Agreementthe approval of the Agreement and to certain other obligations.
