Share Plans. The parties agree that the provisions of Schedule 3 shall apply in respect of the Share Plans.
Share Plans. The Company and the Bidder agree that the following arrangements will, where appropriate and subject to the Acquisition becoming effective in all respects, be implemented with respect to the Share Plans.
Share Plans. In the event the Acquisition is effected by way of an Offer, references to “Court Order” in this Schedule 1 will be read as if they refer to the date on which the Offer becomes or is declared unconditional in all respects.
Share Plans. (a) An aggregate of 18,107,143 Ordinary Shares has been reserved for the issuance to officers, directors, employees and consultants of the Company according to a share incentive option plan adopted by the Board and approval by the Company’s Shareholders (the “Share Plan”). Unless approved by the Board (including the affirmative vote of the Majority Preferred Directors), all officers, directors, employees and consultants of the Company (the “Grantees”) who shall purchase, or receive options to purchase, shares of the Company under the Share Plan shall be required to execute share purchase or option agreements providing for (i) vesting of Shares over not less than a four (4) year period with the first twenty five percent (25%) of such shares vesting following twelve (12) months of continued employment or services, and the remaining shares vesting in equal monthly installments over the following thirty-six (36) months; and (ii) a one-hundred and eighty (180) day lockup period after the consummation of Company’s Qualified IPO.

Share Plans. Participants in the City Pubs Share Plans will be contacted regarding the effect of the Transaction on their rights under the City Pubs Share Plans and provided with further details concerning any proposals that will be made in due course. Details of these proposals will be set out in the Scheme Document and in separate letters to be sent to participants in the City Pubs Share Plans. As set out in the Cooperation Agreement, as part of those proposals to holders of options granted in 2022 under the CSOP, it is intended that any City Pubs Shares acquired by such participants on the exercise of such options will be acquired by Xxxxx’x for cash consideration per City Pubs Share equal to the value of the Consideration (with the value of a Young’s Share for these purposes being determined at the latest practicable date prior to the publication of the proposal to such participants under Rule 15 of the Code). It is intended that City Pubs Shares acquired pursuant to the exercise of options granted under (i) the CSOP in 2016 and 2020, and (ii) The City Pub Group plc Long-Term Incentive Plan, will be acquired by Xxxxx’x for the Consideration under the Scheme.
