Common use of Severability; Survival Clause in Contracts

Severability; Survival. In the event any provision or portion of this Agreement is determined to be invalid or unenforceable for any reason, in whole or in part, the remaining provisions of this Agreement shall nevertheless be binding upon the parties with the same effect as though the invalid or unenforceable part had been severed and deleted. The respective rights and obligations of the parties hereunder shall survive the termination of the Executive's employment to the extent necessary to the intended preservation of such rights and obligations.

In the event that any provision one or portion more of the provisions of this Agreement is determined to shall be invalid held invalid, illegal or unenforceable for in any reasonrespect, in whole or in partthe validity, legality and enforceability of the remaining provisions of this Agreement shall nevertheless not be binding upon affected, or if any one or more of the parties provisions contained herein shall be held to be excessively broad as to duration, activity or subject, such provision shall be construed by limiting and reducing such provisions so as to be enforceable to the maximum extent compatible with the same effect as though the invalid or unenforceable part had been severed and deletedapplicable law. The respective rights and obligations of the parties hereunder shall survive the termination of the Executive's employment to the extent necessary to the intended preservation of such rights and obligations.
