SEVERABILITY AND VALIDITY. The various provisions of this Agreement are severable, and if any one or more provisions are determined to be illegal or otherwise unenforceable, in whole or in part, the remaining provisions shall nevertheless be binding and enforceable.

If any term, provision, covenant or restriction of this Agreement is held by record of competent jurisdiction or other authority to be invalid, void or unenforceable in any jurisdiction or against its regulatory or public policy, the remainder of this Agreement, and the application of such provision to other Persons or circumstances, shall not be affected thereby and shall remain valid and enforceable in such jurisdiction, and any such invalidity or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction. Upon a determination that any term, provision, covenant or restriction is invalid, void or unenforceable or against the regulatory or public policy of the governing jurisdiction, the parties hereto shall negotiate in good faith to modify this Agreement so as to effect the original intent of the parties as closely as possible to the fullest extent permitted by applicable law in an acceptable manner to the end that the transactions contemplated by this Agreement are fulfilled to the extent possible.

In the event that any court of competent jurisdiction declares invalid any term or provision of this Agreement, such invalidity shall have no effect on the other terms or provisions hereof, which shall remain valid and binding and in full force and effect, and to that end the terms and provisions of this Agreement shall be considered severable.

If any provision of this Agreement is or becomes illegal, invalid or unenforceable in any respect under the Law of any jurisdiction, it shall be deemed to be severed from this Agreement and the Parties shall use all reasonable endeavors to replace such provision with one having an effect as close as possible to the deficient provision. The remaining provisions will remain in full force in that jurisdiction and all provisions will continue in full force in any other jurisdiction.

If for any reason the Lease shall be held by a court of competent jurisdiction void, voidable, or unenforceable by the Landlord or by Tenant, or if for any reason it is held by such a court that any of the covenants and agreements of Tenant hereunder, including the covenant to pay Rent hereunder, is unenforceable for the full Term, then and in such event for and in consideration of the right of Tenant to possess, occupy and use the Building, which right in such event is hereby granted, the Lease shall thereupon become and shall be deemed to be a lease from year to year under which the Rent payments herein specified will be paid by Tenant.
