Settlement Date Basis. For purposes of this Agreement, all determinations of whether an investment is to be included as a Portfolio Investment shall be determined on a settlement-date basis (meaning that any investment that has been purchased will not be treated as a Portfolio Investment until such purchase has settled, and any Portfolio Investment which has been sold will not be excluded as a Portfolio Investment until such sale has settled); provided that no such investment shall be included as a Portfolio Investment to the extent it has not been paid for in full.
Settlement Date Basis. For purposes of this Agreement and the other Loan Documents, all determinations of whether a Portfolio Investment is an Eligible Portfolio Investment shall be determined on a Settlement-Date Basis, provided that no such investment shall be included as an Eligible Portfolio Investment to the extent it has not been paid for in full.
Settlement Date Basis. Solely for purposes of determining the Borrowing Base, all determinations of whether an investment is to be included as a Portfolio Investment shall be determined on a settlement-date basis (meaning that any investment that has been purchased will not be treated as a Portfolio Investment until such purchase has settled, and any Portfolio Investment which has been sold will not be excluded as a Portfolio Investment until such sale has settled); provided that no such investment shall be included as a Portfolio Investment unless it has been paid for in full. For the avoidance of doubt, this paragraph (b)(i) is not intended to require the Borrower to reflect investment transactions on a settlement-date basis in any financial statements or books of record or other documents required to be prepared in accordance with GAAP if doing so would cause such financial statements, books of record or other documents to fail to be in accordance with GAAP.

For purposes of this Agreement, all determinations of whether an investment is to be included as a Portfolio Investment included in the Borrowing Base shall be determined on a settlement-date basis (meaning that any investment that has been purchased will not be treated as a Portfolio Investment in the Borrowing Base until such purchase has settled, and any Portfolio Investment in the Borrowing Base which has been sold will not be excluded as a Portfolio Investment in the Borrowing Base until such sale has settled), provided that no such investment shall be included as a Portfolio Investment in the Borrowing Base to the extent it has not been paid for in full.

All determinations of whether an asset is to be included for purposes of determination of the Borrowing Base, any Eligibility Criteria, any Portfolio Criteria or any other calculation to be made under this Agreement or the other Loan Documents will be on a settlement-date basis (meaning that any asset that has been purchased will not be treated as a Collateral Asset until such purchase has settled, and any Collateral Asset which has been sold will not be excluded as a Collateral Asset until such sale has settled); provided that (i) no asset shall be included as a Collateral Asset to the extent it has not been paid for in full, (ii) solely with respect to Eligibility Criteria item 1(n), such Eligibility Criteria will be determined on a trade-date basis and (iii) for purposes of Section 2.01, all Loans requested to be made on such date plus the balance of all unfunded Loans to be made in connection with the Borrower’s purchase of previously requested (and approved, if applicable) Collateral Assets will be treated as having been made.

For the avoidance of doubt, the Value of any Portfolio Investment determined in accordance with this Section 5.12, including any Value determined on a settlement-date basis in accordance with the foregoing sentence, shall be the Value of such Portfolio Investment for purposes of this Agreement until a new Value for such Portfolio Investment is subsequently determined in good faith in accordance with this Section 5.12.

For purposes of this Agreement, all determinations of whether an investment is to be included as an Eligible Portfolio Investment or a Non-Core Asset shall be determined on a settlement-date basis (meaning that any investment that has been purchased will not be treated as an Eligible Portfolio Investment or a Non-Core Asset until such purchase has settled, and any Eligible Portfolio Investment or any Non-Core Asset which has been sold will not be excluded as an Eligible Portfolio Investment or a Non-Core Asset until such sale has settled), provided that no such investment shall be included as an Eligible Portfolio Investment or a Non-Core Asset to the extent it has not been paid for in full. 108

For purposes of this Agreement, all determinations of whether an investment is to be included as a Portfolio Investment shall be determined on a settlement-date basis (meaning that any investment that has been purchased will not be treated as a Portfolio Investment until such purchase has settled, and any Portfolio Investment which has been sold will not be excluded as a Portfolio Investment until such sale has settled); provided that once an investment is included as a Portfolio Investment, solely for valuation purposes, Portfolio Investments may be valued on a traded date basis to the extent required to comply with existing valuation policies and procedures of the Borrower or External Managers; provided, further, that no such investment shall be included as a Portfolio Investment to the extent it has not been paid for in full. (ii)
Settlement Date Basis. For purposes of this Agreement, (i) other than in the case of the origination of a new Portfolio Investment, all determinations of whether an investment is to be included as a Portfolio Investment shall be determined on a settlement-date basis (meaning that any investment that has been purchased will not be treated as a Portfolio Investment until such purchase has settled, and any Portfolio Investment which has been sold will not be excluded as a Portfolio Investment until such sale has settled), provided that no such investment shall be included as a Portfolio Investment to the extent it has not been paid for in full; and (ii) in the case of the origination of a new Portfolio Investment, all determinations of whether such investment is to be included as a Portfolio Investment shall be determined on the date that such Obligor funds such investment.
