Settlement and Satisfaction. Upon execution of this Agreement or as at a time as soon as reasonably practicable thereafter, Monarch shall take any and all actions necessary or reasonably advisable to remit to Benacquista twenty-five thousand (25,000) of the Common Shares it received upon exercise of the Warrant in consideration of the full satisfaction of the outstanding principal balance of the Note together with all interest accrued thereon through the date hereof.

  • Full Satisfaction All Merger Consideration paid upon the surrender of Certificates or transfer of Book-Entry Shares in accordance with the terms hereof shall be deemed to have been paid in full satisfaction of all rights pertaining to the shares of Company Common Stock formerly represented by such Certificate or Book-Entry Shares, and from and after the Effective Time, there shall be no further registration of transfers of shares of Company Common Stock on the stock transfer books of the Surviving Corporation.
