Services to be Performed by Independent Contractor. Independent Contractor shall perform the following professional services (the “Services”) of the following description as an independent contractor to ChinaTel acting as a Project Manager during the entire Term of this Agreement. Among other services, the Services include, but are not limited to: (i) producing detailed comprehensive documentation as requested on various telecommunication and broadband projects; (ii) developing and maintaining task specific budgets; (iii) overseeing all aspects of a project including planning, resource allocation and budget; and (iv) staffing, structuring and maintaining a productive team of skilled employees on behalf of ChinaTel.
Services to be Performed by Independent Contractor. Independent Contractor shall perform typical public relations and investor relations services (“the Services”) as an independent contractor to ChinaTel, including, but not limited to, consulting with the ChinaTel management concerning marketing surveys, investor accreditation, availability to expand investor base, investor support, strategic business planning, attendance at conventions and trade shows, assistance in the preparation and dissemination of press releases and stockholder communications, and such other activities as ChinaTel may request of Independent Contractor.

Services to be Performed by Independent Contractor. Independent Contractor shall perform the following professional services (the “Services”) of the following description as an independent contractor to ChinaTel acting as its Vice-President of Mergers & Acquisitions and Assistant General Counsel during the entire Term of this Agreement. Among other services, the Services include, but are not limited to: (i) review of proposed and existing contracts with ChinaTel; (ii) due diligence of potential acquisitions of companies or assets of companies in the broadband wireless telecommunications sector worldwide; (iii) negotiation and preparation of other Independent Contractor Agreements between ChinaTel and third parties; (iv) review and analysis of existing and proposed business plans; (v) review of and, if necessary, preparation of PowerPoint presentations as requested by ChinaTel; (vi) managing retained outside counsel providing legal services to ChinaTel related to potential acquisitions of assets or companies by China Tel; (vii) drafting Letters of Intent and reviewing and revising Letters of Intent prepared by outside retained legal counsel by ChinaTel; (viii) negotiating and drafting Stock Purchase Agreements; (ix) negotiating and drafting Asset Purchase Agreements; (x) negotiating and drafting Stock Exchange Agreements; (xi) preparing form documents to be used by ChinaTel in connection with legal matters; (xii) reviewing and analyzing spectrum licenses in the broadband wireless telecommunications sector; (xiii) preparation of Mutual Nondisclosure Agreements; and (xiv) providing such other legal advice and support to the Vice President and General Counsel of ChinaTel as required. Payment ChinaTel shall pay Independent Contractor for the Services described below for a fixed fee of One Hundred Fifty Two Thousand, Two Hundred and Four (152,204) shares of ChinaTel’s Series A common stock issued as S-8 stock (“Independent Contractor Fee”). The Independent Contractor Fee shall be paid as soon as possible upon the expiration of the Term of this Agreement.
Services to be Performed by Independent Contractor. Independent Contractor shall perform the following services (the “Services”) of the following description as an independent contractor to ChinaTel acting as an Office Clerk during the entire Term of this Agreement. Among other services, the Services include, but are not limited to: duties too varied and diverse to be classified in any specific office clerical occupation, requiring limited knowledge of office management systems and procedures, duties assigned by supervisors, including answering telephones, bookkeeping, typing, word processing, maintaining office machines and filing.

Independent Contractor shall perform temporary professional services (“the Services”) as an independent contractor to ChinaTel for wireless telecommunications deployment in specific markets in China, South America and Europe. Services shall also include strategic and corporate planning for ChinaTel.
Services to be Performed by Independent Contractor. Independent Contractor shall perform professional services (the “Services”) of the following general description as an independent contractor to ChinaTel acting as its Chief Administrative Officer during the entire Term of this Agreement. The Services include, but are not limited to: (i) coordination of long-range and annual planning in collaboration with the Chief Executive Officer and the Board of Directors; (ii) supervising the administrative staff and directing administrative operations; (iii) managing the operation and maintenance of the corporate office; (iv) administering and supporting, in conjunction with the Chief Executive Officer and the Chief Operating Officer, all aspects of the ChinaTel’s operations; (v) acting as the representative and advocate of ChinaTel with government agencies, insurance companies, community and local business groups and organizations; and (iv) managing the provision of all administrative services to ChinaTel through outside consultants.
