SERVICES INTRODUCTION. Part 1 (Introduction) of this Framework Agreement Schedule 1 (Services) and the Specification sets out the Services that the Supplier will make available to Contracting Bodies pursuant to the Framework Agreement. The Supplier will provide agency nurses and social care workers. The Supplier acknowledges and agrees that the descriptions below are not intended to be an exhaustive list of services that are available. They are provided to give an indication of the type of services available in the Lot: LOT DESCRIPTION One Neutral Vendor The Services are for the management of supply from high quality Employment Businesses of fully vetted agency nursing and social care workers for hire on temporary assignments or contracts by Contracting Bodies. The awarded supplier(s) will be responsible for the compliance of the Employment Businesses used with regards to all the relevant terms and conditions of the Framework Agreement and with all legislative and regulatory requirements. Awarded Suppliers will NOT be eligible to supply agency nurses and social care workers registered with themselves as an Employment Business. This form of managed service is usually known in the industry as a “neutral vendor For the Contracting Body receiving the Services, the provision shall be seamless. The Contracting Body shall contract only with the awarded Supplier and not with the Employment Businesses directly. The Services that the Supplier will be required to supply for this Lot are set out in Framework Agreement Schedule 1 (Services) Sub-Schedule 1(a) (Service specification for the provision of Temporary work-seekers) Two General The Services are for the supply of fully vetted registered agency nurses, dental nurses and clinical support workers for hire on temporary assignments or contracts by Contracting Bodies within a general hospital setting. The Services that the Supplier will be required to supply for this Lot are set out in Framework Agreement Schedule 1 (Services) Sub-Schedule 1(a) (Service specification for the provision of Temporary work-seekers) LOT DESCRIPTION Three Mental Health The Services are for the supply of fully vetted registered agency nurses, mental health practitioners and clinical support workers for hire on temporary assignments or contracts by Contracting Bodies within a mental health hospital or community mental health services settings. SERVICES INTRODUCTION. The parties agree to work together in an --------------------- expeditious and transparent manner to launch or transition Users to CP's e- mail messaging system through which CP provides the Services ("CP System"). U S WEST shall provide to CP information and materials, such as the domain name, e-mail addresses and passwords, ("User Information") necessary for CP perform the set-up and other initial services ("CP Transition Services") to launch or transition the Users' to the CP System. Upon completion of the CP Transition Services, U S WEST shall perform any necessary changes to the U S WEST Service ("U S WEST Transition Services") before Users will have access to the Services.

  • Services Unique It is agreed that the services to be rendered by Employee hereunder are of a special, unique, unusual, extraordinary and intellectual character which gives them a peculiar value, the loss of which cannot be reasonably or adequately compensated in damages in an action at law and that a breach by Employee of any of the provisions contained herein will cause the Company irreparable injury and damage.   • The Services The HSP agrees to provide the Services on the terms and conditions of this PFA including all of its Appendices and schedules.

  • Customer Services Customer Relationship Management (CRM): All aspects of the CRM process, including planning, scheduling, and control activities involved with service delivery. The service components facilitate agencies’ requirements for managing and coordinating customer interactions across multiple communication channels and business lines. Customer Preferences: Customizing customer preferences relative to interface requirements and information delivery mechanisms (e.g., personalization, subscriptions, alerts and notifications).

  • Transitional Services Contractor shall provide Transitional Services to offenders who are being released from a prison, an assessment/sanction center, prerelease center, or treatment center for up to the first 90 days of community supervision after release. A Probation and Parole Officer (PO) will determine the specific services to be provided to each offender based on the offender’s needs and individualized case plan as determined or developed by the State. The referring PO will complete an agreed upon referral form designating the services selected. Contractor will confirm availability of services, establish a start date, and return the referral form to the PO and the designated State staff.

  • Services FASC agrees to provide to the Adviser the services indicated in Exhibit A to this Agreement (the “Services”).

  • Development Services During the term of this Agreement, the Provider agrees to provide to or on behalf of the Port the professional services and related items described in Exhibit A (collectively, the “Development Services”) in accordance with the terms and conditions of this Agreement. The Provider specifically agrees to include at least one Port representative in any economic development negotiations or discussions in which the Provider is involved concerning (i) a port-related business prospect or (ii) a business transaction which will ultimately require Port involvement, financial or otherwise.

  • Legal Services If this Agreement is for legal services, this section is applicable. Contractor shall: (i) adhere to legal cost and billing guidelines designated by the JBE; (ii) adhere to litigation plans designated by the JBE, if applicable; (iii) adhere to case phasing of activities designated by the JBE, if applicable; (iv) submit and adhere to legal budgets as designated by the JBE; (v) maintain legal malpractice insurance in an amount not less than the amount designated by the JBE; and (vi) submit to legal bill audits and law firm audits if so requested by the JBE, whether conducted by employees or designees of the JBE or by any legal cost-control provider retained by the JBE for that purpose. Contractor may be required to submit to a legal cost and utilization review as determined by the JBE. If (a) the Contract Amount is greater than $50,000, (b) the legal services are not the legal representation of low- or middle-income persons, in either civil, criminal, or administrative matters, and (c) the legal services are to be performed within California, then Contractor agrees to make a good faith effort to provide a minimum number of hours of pro xxxx legal services, or an equivalent amount of financial contributions to qualified legal services projects and support centers, as defined in section 6213 of the Business and Professions Code, during each year of the Agreement equal to the lesser of either (A) thirty (30) multiplied by the number of full time attorneys in the firm’s offices in California, with the number of hours prorated on an actual day basis for any period of less than a full year or (B) the number of hours equal to ten percent (10%) of the Contract Amount divided by the average billing rate of the firm. Failure to make a good faith effort may be cause for nonrenewal of this Agreement or another judicial branch or other state contract for legal services, and may be taken into account when determining the award of future contracts with a Judicial Branch Entity for legal services.

  • Support Services HP’s support services will be described in the applicable Supporting Material, which will cover the description of HP’s offering, eligibility requirements, service limitations and Customer responsibilities, as well as the Customer systems supported.

  • REGULATORY ADMINISTRATION SERVICES BNY Mellon shall provide the following regulatory administration services for each Fund and Series:  Assist the Fund in responding to SEC examination requests by providing requested documents in the possession of BNY Mellon that are on the SEC examination request list and by making employees responsible for providing services available to regulatory authorities having jurisdiction over the performance of such services as may be required or reasonably requested by such regulatory authorities;  Assist with and/or coordinate such other filings, notices and regulatory matters and other due diligence requests or requests for proposal on such terms and conditions as BNY Mellon and the applicable Fund on behalf of itself and its Series may mutually agree upon in writing from time to time; and
