Common use of Servicer Shall Provide Information as Reasonably Required Clause in Contracts

Servicer Shall Provide Information as Reasonably Required. The Servicer shall, and shall cause the Subservicer to, furnish to the Master Servicer upon reasonable request, during the term of this Agreement, such periodic, special or other reports or information, whether or not provided for herein, as shall be necessary, reasonable or appropriate with respect to the purposes of this Agreement. The Servicer or the Subservicer may negotiate with the Master Servicer for a reasonable fee for providing such report or information, unless (a) the Servicer or the Subservicer is required to supply such report or information pursuant to any other section of this Agreement, or (b) the report or information has been requested in connection with Internal Revenue Service or other regulatory agency requirements. All such reports or information shall be provided by and in accordance with all reasonable instructions and directions given by the Master Servicer. Each of the Servicer and the Subservicer agrees to execute and deliver all such instruments and take all such action as the Master Servicer, from time to time, may reasonably request in order to effectuate the purpose and to carry out the terms of this Agreement.
