SERVICE PROVIDER’S PERSONNEL. 4.1 Description of Personnel The titles, agreed job descriptions, minimum qualifications, and estimated periods of engagement in the carrying out of the Services of the Service Provider’s Key Personnel are described in Appendix C. The Key Personnel and Subcontractors listed by title as well as by name in Appendix C are hereby approved by the Employer.

If and when directed by the CLIENT, the SERVICE PROVIDER shall provide a list of the names and addresses of all persons who it is expected may require admission in connection with the performance of the Contract, to any premises occupied by or on behalf of the CLIENT, specifying the capacities in which they are concerned with the Contract and giving such other particulars as the CLIENT may reasonably require. If and when directed by the CLIENT, the SERVICE PROVIDER shall secure that any person employed or engaged by the SERVICE PROVIDER or by a sub-contractor, who is specified in the direction or is one of a class of persons who may be so specified, shall sign a statement that he understands that the Official Secrets Acts 1911 to 1989 apply to him both during the term of and after the expiry or termination of the Contract. The SERVICE PROVIDER's representatives, engaged within the boundaries of a Government establishment, shall comply with such rules, regulations and requirements (including those relating to security arrangements) as may be in force from time to time for the conduct of personnel when at that establishment and when outside that establishment. If the SERVICE PROVIDER shall fail to comply with Clause 25.2 and if the CLIENT (whose decision shall be final and conclusive) shall decide that such failure is prejudicial to the interests of the State and if the SERVICE PROVIDER does not comply with the provisions of Clause 25.2 within a reasonable time of written notice so to do then the CLIENT may terminate the Contract provided always that such termination shall not prejudice or affect any right of action or remedy which shall have accrued or shall thereafter accrue to the CLIENT. The decision of the CLIENT as to whether any person is to be refused admission to any Premises occupied by or on behalf of the CLIENT and as to whether the SERVICE PROVIDER has failed to comply with Clause 25.2 shall be final and conclusive. No enquiry, inspection, approval, sanction, comment, consent decision or instruction at any time made or given on behalf of the CLIENT to any document or information provided by the SERVICE PROVIDER, and no failure of the CLIENT to discern any defect in or omission f...

SERVICE PROVIDER’S PERSONNEL. 4.1 The Service Provider will abide by all State and Federal regulations on wages and hours of an employee dealing with the employment relationship between the Service Provider and its subsidiaries or related parties and its employees, including but not limited to the Federal National Labor Relations Act, the Federal Fair Labor Standards Act, the Federal Civil Rights Act of 1964, as amended, and the Americans with Disabilities Act.
SERVICE PROVIDER’S PERSONNEL. C.1.1 The Fund shall act reasonably and in good faith in making any decision or request of the Service Provider, its employees, agents, suppliers or subcontractors under or pursuant to this Contract.

The Service Provider warrants that all its Personnel will be entitled to work in South Africa or any other country in which the Services are to be performed. The Service Provider will ensure that its Personnel comply with all reasonable requirements made known to the Service Provider by Transnet concerning conduct at any Transnet premises or any other premises upon which the Services are to be performed [including but not limited to security regulations, policy standards and codes of practice and health and safety requirements]. The Service Provider will ensure that such Personnel at all times act in a lawful and proper manner in accordance with these requirements. Transnet reserves the right to refuse to admit or to remove from any premises occupied by or on behalf of it, any Service Provider Personnel whose admission or presence would, in the reasonable opinion of Transnet, be undesirable or who represents a threat to confidentiality or security or whose presence would be in breach of any rules and regulations governing Transnet's Personnel, provided that Transnet notifies the Service Provider of any such refusal [with reasons why]. The reasonable exclusion of any such individual from such premises shall not relieve the Service Provider from the performance of its obligations under this Agreement. The Service Provider agrees to use all reasonable endeavours to ensure the continuity of its Personnel assigned to perform the Services. If any re-assignment by the Service Provider of those Personnel is necessary, or if Transnet advises that any such Personnel assigned are in any respect unsatisfactory, including where any such Personnel are, or are expected to be or have been absent for any period, then the Service Provider will promptly supply a replacement of equivalent calibre and experience, and any such replacement shall be approved by Transnet prior to commencing provision of the Services, such approval not to be unreasonably withheld or delayed.
