Service Provider Contracts. To the extent that at the end of the Term of this Agreement the Purchaser will also require an agreement with any third-party service provider used by the Seller in connection with the Services as of the Closing Date, the Seller agrees to use commercially reasonable efforts to assist the Purchaser to obtain terms and conditions, including pricing terms, substantially similar to those received from such service providers by the Seller prior to the Closing Date.
Service Provider Contracts. Alltel shall use its reasonable best efforts to cause each service provider (including third-party administrator, recordkeeper and trustee) with respect to any plan or program assumed or mirrored by Spinco (including the Alltel Comprehensive Plan of Group Insurance, Alltel Corporation Long Term Disability Plan, Income Advantage Plan (POP), Group Accident Plan or Special Insurance Plan for Former Allied Telephone Profit Sharing, Alltel Corporation Pension Plan, Alltel Corporation 401(k) Plan, Alltel Corporation Profit Sharing Plan, and Supplemental Medical Reimbursement Plan (SMRP)) in existence as of the Beginning Date to enter into an agreement with Spinco with substantially similar terms and conditions as provided to Alltel Such terms and conditions shall include the financial and termination provisions, performance standards, methodology, auditing policies, quality measures, reporting requirements and target claims. The Spinco Group shall use its reasonable best efforts to cooperate with Alltel in such efforts, and the Spinco Group shall not perform any act, including discussing any alternative arrangements with any third party, that would prejudice Alltel’s efforts. If it becomes reasonably likely that Alltel will not be successful in negotiating contract language with a third-party administrator that will permit compliance with the foregoing provisions of this Section 9.06(a), Alltel shall so notify Spinco promptly, and after such notification, the Spinco Group shall be released from the restriction contained in the immediately preceding sentence. In addition, notwithstanding any other provision of this Agreement, the Distribution Agreement or any other agreement between the parties hereto, Spinco shall not be required, or be deemed to be required, to establish a benefit plan, policy, program, practice or arrangement that it is not able to insure or administer or contract for insurance or administration on substantially similar terms and conditions as the Alltel benefit plans, policies, programs, practices or arrangements.
Service Provider Contracts. As identified in the CDF Procurement Plan, and consistent with the Activities in Annex I, each of MCC or the Permitted Designee, as the case may be, may procure and manage the services of one or more providers of goods, works, or services to implement each of the Activities.
Service Provider Contracts. Consistent with the Activities in Annex I, either the Government or MCC, as the case may be, may procure and manage the services of one or more providers of goods, works, or services to implement each of the Activities.
Service Provider Contracts. The Government or its Permitted Designee, as applicable, will procure and manage the services of one or more service providers for each of the Activities (each a “Service Provider”). The Government or its Permitted Designee, as applicable, will enter into one or more contracts, in a form acceptable to MCC, with the Service Providers implementing the Activities (“Service Provider Contracts”).
Service Provider Contracts. The VCSA may, in its discretion, require the Service Provider to enforce all legal rights available to it in respect of the Project Proponent, or assign such rights to the VCSA or its nominees, in order for the VCSA to enforce its rights under Clause 4.3.2, and the Service Provider shall do so within [seven (7)] days of such request, or where injunctive relief is sought in relation to such enforcement, immediately. The Service Provider shall ensure that all Service Provider Contracts executed pursuant to, and during the term of, this Agreement include terms substantially in the form of those set out in the Schedule to this Agreement, unless otherwise agreed in writing with the VCSA.
Service Provider Contracts. Within ten (10) Business Days of execution of any Service Provider Contract, Service Provider shall provide Verra with the name and contact information of the Project Proponent(s) with whom Service Provider has entered into such contract. Verra may, in its discretion, require the Service Provider to enforce all legal rights available to it in respect of the Project Proponent, or assign such rights to Verra or its nominees, in order for Verra to enforce its rights under this Agreement and the Service Provider shall do so as soon as reasonably possible and within not more than ten (10) days of such request, or where injunctive relief is sought in relation to such enforcement, immediately. The Service Provider shall ensure that all Service Provider Contracts executed pursuant to, and during the term of, this Agreement include terms substantially in the form of those set out in Schedule 1 to this Agreement, unless otherwise agreed in writing with Verra.
Service Provider Contracts. The Company and its Subsidiaries have, where required by Data Protection Laws, entered into Contracts with its service providers and other material business relationships that meet the requirements of Data Protection Laws applicable to their respective businesses.
Service Provider Contracts. The Sellers shall before Closing exercise reasonable efforts to (i) identify for the Purchaser those service providers in relation to the Company Business who qualify as independent contractors and any temporary agency agreements covering material services related to the Company Business and (ii) at the option of the Purchaser, assign such contracts to the Company or any Company Subsidiary to the extent necessary or assist the Purchaser in retaining the services provided by such contractors and under such agreements.
Service Provider Contracts. Contractor acknowledges that Company resells products of other providers upon terms and subject to conditions contained in its contracts with said providers. Such providers are hereinafter referred to as Service Providers. Contractor agrees to be bound by and adhere to such conditions, and to, at the request of Company, to comply with any requirements which said providers may require of Company’s agents and independent subcontractors.
