Service Provider Access. 7.1 The Customer may provide confirmation to the Exchange and the Service Provider via the Member Portal that it wishes to utilise the Service Provider in respect of certain services provided by the Service Provider to the Customer.

Service Provider Access. The State will allow Service Provider system access into the State’s systems, applications, web sites, time reporting system, and other systems, as needed, to support the Functions as described in Section 2. If the State’s systems become inaccessible for any reason, the Service Provider’s technical Help Desk will coordinate with the State’s technical Help Desk to determine the course for problem identification and resolution.

Service Provider Access. Service Provider hereby grants Client and its Affiliates a non-exclusive, limited, non-licensable, non-sub-licensable, non-transferable (except as permitted by Section 14), US and UK only right during the Term to use and access the Platform, Applications and the Services in the furtherance of Client’s and its Affiliates’ business purposes for the intended purposes as set forth in the Documentation. This right to access and use is a non-global US and UK only SaaS entitling Client and Authorized Users (as defined in Section 2.2) to access the Platform and use the Applications and the Services via any telecommunication networks and equipment used by or on behalf of Client or Affiliates for the intended purposes as set forth in the Documentation.

Any actions undertaken by any such Service Provider in relation to Your Applications or use of the Apple Software or Apple Services and/or arising out of this Agreement shall be deemed to have been taken by You, and You (in addition to the Service Provider) shall be responsible to Apple for all such actions (or any inactions). In the event of any actions or inactions by the Service Provider that would constitute a violation of this Agreement or otherwise cause any harm, Apple reserves the right to require You to cease using such Service Provider.

  • Service Providing Methodology 1.3.1 Party A and Party B agree that during the term of this Agreement, where necessary, Party B may enter into further service agreements with Party A or any other party designated by Party A, which shall provide the specific contents, manner, personnel, and fees for the specific services.

  • Termination of Relationship as a Service Provider If the Optionee ceases to be a Service Provider (other than for death or Disability), this Option may be exercised for a period of three (3) months after the date of such termination (but in no event later than the expiration date of this Option as set forth in the Notice of Grant) to the extent that the Option is vested on the date of such termination. To the extent that the Optionee does not exercise this Option within the time specified herein, the Option shall terminate.
