SERVICE ENHANCEMENT REQUEST. 10.1 Client may request changes to, modifications of, and work in addition to that identified pursuant to Exhibit "A" by submitting a written Service Enhancement Request to ICT from time to time during the term of this Agreement. ICT shall have the right to accept or reject the Client's Service Enhancement Request, in its sole discretion. Upon the approval of a Service Enhancement Request by ICT, the amount to be paid ICT under this Agreement and the time of performance shall be adjusted as specified in the Service Enhancement Request. All such work shall be executed under the terms and conditions specified in this Agreement and all approved Service Enhancement Requests will be appended to this Agreement in Exhibit "D".

SERVICE ENHANCEMENT REQUEST. 10.1 BUYER may request changes to, modifications of, and work in addition to that identified pursuant to Exhibit A, B and/or C by submitting a written Service Enhancement Request to SUPPLIER from time to time during the term of this Agreement. SUPPLIER shall have the right to accept or reject the BUYER's Service Enhancement Request, in its sole discretion; however, SUPPLIER will accept reasonable requests from BUYER. SUPPLIER shall not unreasonably withhold such acceptance or rejection. Upon the approval of a Service Enhancement Request by SUPPLIER, the amount to be paid SUPPLIER under this Agreement and the time of performance shall be adjusted as specified in the Service Enhancement Request. All such work shall be executed Lakeland MSA under the terms and conditions specified in this Agreement and each approved Service Enhancement Request Form - Exhibit "D", will be appended to this Agreement.
SERVICE ENHANCEMENT REQUEST. Client may request changes to, modifications of, and extra work in addition to that identified in Exhibit A by submitting a Service Enhancement Request to SCT (TMD) from time to time during the term of this Agreement. SCT (TMD) will not unreasonably reject any Service Enhancement Request. Upon the parties' execution of a Service Enhancement Request, the amount to be paid SCT (TMD) under this Agreement and the time of performance will be adjusted as specified in the Service Enhancement Request. All such work will be executed under the terms and conditions specified in this Agreement.

  • Administrative Support Service Fees Within forty-five (45) days of the end of each calendar quarter, the Fund will make payments in the aggregate amount of 0.0625% (0.25% on an annual basis) of the average during that calendar quarter of the aggregate net asset value of the Shares computed as of the close of each business day (the "Service Fee"). Such Service Fee payments received from the Fund will compensate the Distributor for providing administrative support services with respect to Accounts. The administrative support services in connection with Accounts may include, but shall not be limited to, the administrative support services that a Recipient may render as described in Section 3(b)(i) below.

  • Support Services Other than the assistance provided in the Information, the BNPP Entities do not offer any support services in connection with the Software.

  • TAX SUPPORT SERVICES BNY Mellon shall provide the following tax support services for each Fund:  Provide various data and reports as agreed upon in the SLDs to support TRP’s tax reporting and tax filing obligations, including: · Wash sales reporting; · QDI reporting; · DRD reporting; · PFIC analysis; · Straddle analysis; · Paydown adjustments; · Equalization debit adjustments · Tax compliance under §851, §817(h); · Foreign bond sale analysis (§988); · Troubled debt analysis; · Estimation of income for excise tax purposes; · Swap analysis; · Inflation adjustments; · §1256 adjustments; · Market discount analysis; OID adjustments; · CPDI analysis; · Shareholder tax reporting information (e.g. FTC, UGG income, foreign source income by country, exempt income by state);  Provide data, and reports based on such data, maintained by BNY Mellon on its fund accounting platform as reasonably requested by TRP to support TRP’s obligations to comply with requests from tax authorities and TRP’s tax reporting and tax filing obligations.  Assist with other tax-related data needs as mutually agreed upon in writing from time-to-time.

  • Maintenance and Support Services Distributor shall provide Maintenance and Support Services to all of its Customers of Licensed Software as set forth in Sections 3.4(a) and 3.4(b) below. Distributor may require Customers to provide the own First-Line Support: however, in no event shall Siebel be responsible for First-Line or Second-Line Support. Subject to Distributor's payment of the Maintenance Fees set forth in EXHIBIT A Siebel shall provide Third-Line Support to Distributor in accordance with Siebel's then current Maintenance and Support Services Policy. Distributor shall be responsible for all support related to the Value Added Offering.

  • Statement of Work Independently and not as an agent of the Government, the Contractor shall furnish all the necessary services, qualified personnel, material, equipment, and facilities, not otherwise provided by the Government as needed to perform the Statement of Work, SECTION J, ATTACHMENT 1, April 30, 2004, attached hereto and made a part of this contract.

  • Disbursement Requests Except as expressly provided in the Credit Agreement, Administrative Agent must receive Disbursement Requests in writing. Disbursement Requests will only be accepted from the applicable Authorized Representatives designated in the Disbursement Instruction Agreement. Disbursement Requests will be processed subject to satisfactory completion of Administrative Agent’s customer verification procedures. Administrative Agent is only responsible for making a good faith effort to execute each Disbursement Request and may use agents of its choice to execute Disbursement Requests. Funds disbursed pursuant to a Disbursement Request may be transmitted directly to the Receiving Bank, or indirectly to the Receiving Bank through another bank, government agency, or other third party that Administrative Agent considers to be reasonable. Administrative Agent will, in its sole discretion, determine the funds transfer system and the means by which each Disbursement will be made. Administrative Agent may delay or refuse to accept a Disbursement Request if the Disbursement would: (i) violate the terms of this Agreement; (ii) require use of a bank unacceptable to Administrative Agent or Lenders or prohibited by government authority; (iii) cause Administrative Agent or Lenders to violate any Federal Reserve or other regulatory risk control program or guideline; or (iv) otherwise cause Administrative Agent or Lenders to violate any applicable law or regulation.
