Series Accounts. If so provided in the related Supplement, the Trustee, for the benefit of the Investor Certificateholders, shall cause to be established and maintained in the name of the Trust, one or more Series Accounts. Each such Series Account shall bear a designation clearly indicating that the funds deposited therein are held for the benefit of the Investor Certificateholders of such Series. Each such Series Account will be a trust account, if so provided in the related Supplement and will have the other features and be applied as set forth in the related Supplement.

Series Accounts. If so provided in the related Series Supplement, the Trustee or the Servicer, for the benefit of the Secured Parties of such Series, shall cause to be established and maintained, in the name of the Trustee for the benefit of the Secured Parties of such Series, one or more accounts (each, a “Series Account” and, collectively, the “Series Accounts”). Each such Series Account shall bear a designation clearly indicating that the funds deposited therein are held for the benefit of the Secured Parties of such Series. Series Accounts. HVF has established and maintained, and shall continue to maintain, in the name of the Trustee for the benefit of the Series 2009-1 Noteholders three accounts: the Series 2009-1 Collection Account (such account, the “Series 2009-1 Collection Account”), the Series 2009-1 Accrued Interest Account (such account, the “Series 2009-1 Accrued Interest Account”) and the Series 2009-1 Excess Collection Account (such account, the “Series 2009-1 Excess Collection Account” and, together with the Series 2009-1 Collection Account and the Series 2009-1 Accrued Interest Account, the “Series 2009-1 Series Accounts”). Each Series 2009-1 Series Account shall bear a designation clearly indicating that the funds deposited therein are held for the benefit of the Series 2009-1 Noteholders. Each Series 2009-1 Series Account shall be an Eligible Deposit Account. If a Series 2009-1 Series Account is at any time no longer an Eligible Deposit Account, HVF shall, within 10 Business Days of obtaining knowledge that such Series 2009-1 Series Account is no longer an Eligible Deposit Account, establish a new Series 2009-1 Series Account that is an Eligible Deposit Account. If a new Series 2009-1 Series Account is established, HVF shall instruct the Trustee in writing to transfer all cash and investments from the non-qualifying Series 2009-1 Series Account into the new Series 2009-1 Series Account. Initially, each of the Series 2009-1 Series Accounts will be established with The Bank of New York Mellon.

Series Accounts. (a) The Issuer will cause to be established and maintained Eligible Deposit Accounts denominated as follows: the “Interest Funding Account,” the “Principal Funding Account,” the “Note Retirement Account,” the “Class D Reserve Account” and the “Accumulation Reserve Account” (collectively, the “Series Accounts”) in the name of the Indenture Trustee, bearing a designation clearly indicating that the funds deposited therein are held for the benefit of the SynchronySeries Noteholders (or, in the case of the Class D Reserve Account, for the benefit of the Class D Noteholders) on or before the date hereof (or, in the case of the Class D Reserve Account, on or before the date of issuance of any Tranche of Class D Notes for which the related Terms Document specifies a targeted deposit to be made to the Class D Reserve Account). The Interest Funding Account, the Principal Funding Account, the Note Retirement Account, the Class D Reserve Account and the Accumulation Reserve Account constitute Series Accounts for the SynchronySeries and shall be under the sole dominion and control of the Indenture Trustee for the benefit of the SynchronySeries Noteholders (or, in the case of the Class D Reserve Account, for the benefit of the Class D Noteholders). If, at any time, the institution holding any of the Interest Funding Account, the Principal Funding Account, the Note Retirement Account, the Class D Reserve Account or the Accumulation Reserve Account ceases to be of the type described in the definition of “Eligible Deposit Account” set forth in the Indenture, the Issuer will within ten (10) Business Days (or such longer period, not to exceed thirty (30) calendar days, as to which each Rating Agency may consent) establish a new Interest Funding Account, Principal Funding Account, Note Retirement Account, Class D Reserve Account or Accumulation Reserve Account, as the case may be, that is an Eligible Deposit Account and shall transfer any cash and/or investments to such new Interest Funding Account, Principal Funding Account, Note Retirement Account, Class D Reserve Account or Accumulation Reserve Account, as the case may be.
