Separate Consideration. The procedure for and allowance or disallowance by the Court of Plaintiffs’ application for attorneys’ fees and litigation expenses and for Service Awards are a separate part of the Settlement set forth in this Settlement Agreement, but are separate from the Court’s consideration of the fairness, reasonableness and adequacy of the Settlement set forth in this Settlement Agreement. Any order or proceeding relating to any application for attorneys’ fees, litigation expenses in an amount less than the amount requested by Plaintiffs’ Counsel or request for Service Awards, or any appeal from any order relating thereto or reversal or modification, thereof, shall not operate to terminate or cancel the Settlement Agreement, or affect or delay the finality of the Final Order approving the Settlement Agreement and the Settlement set forth herein. If at the time of any disbursement from the Settlement Fund Account there shall be a pending application for attorneys’ fees or expenses or Service Awards, there shall be reserved in the Settlement Fund Account an amount equal to the amount of the pending application, until such time as the Court shall rule upon such application and such ruling shall become Final.

Separate Consideration. Employee hereby represents, warrants and agrees with Company that Twelve Thousand Five Hundred Dollars and 00/100 ($12,500.00) of the Severance Payment constitutes good and valuable consideration, the receipt and sufficiency of which are hereby expressly acknowledged, for the covenants and agreements contained in Section 4.2 hereof.
Separate Consideration. Executive further agrees and acknowledges that one-third of the additional compensation and benefit rights provided by the Company pursuant to paragraph 3 of the Separation Agreement include separate and adequate consideration, to which Executive is not otherwise entitled, in exchange for Executive's waiver of rights, if any, to assert or allege discrimination on the basis of age pursuant to the Age Discrimination in Employment Act, as amended, and/or KRS Chapter 344, as amended or other local laws and/or ordinances.

  • Sublicense Consideration Company shall pay to JHU a percentage of consideration received for sublicenses under this Agreement as set forth in Exhibit A. This sublicense consideration shall be due, without the need for invoice from JHU, within forty-five (45) days of Company’s receipt. The term “Fair Market Value” shall mean the average price that the stock in question is publicly trading at for twenty (20) days prior to the announcement of its purchase by the SUBLICENSEE(S) or if the stock is not publicly traded, the greater of (a) the value of such stock as determined by the most recent private financing through a financial investor (an entity whose sole interest in the Company or AFFILIATED COMPANY is financial) of the Company or AFFILIATED COMPANY that issued the shares, or (b) the value of such stock as determined by the most recent appraisal conducted by an independent appraiser regularly engaged in the business of valuing businesses of the nature of Company or AFFILIATED COMPANY, as applicable. In the event of a sublicense under both this Agreement and any other license agreement between Company and JHU, the sublicensing consideration payable to JHU under this Agreement and such other license agreement(s) shall be capped such that the aggregate amount payable to JHU shall not exceed the percentage set forth in Exhibit A of all sublicensing consideration.
