Seller’s Closing Certificate. A certificate duly executed by Seller in the form of Exhibit J attached hereto (the “Seller’s Closing Certificate”).
Seller’s Closing Certificate. At the Closing, each of the Sellers shall furnish a certificate, signed by such Seller, dated the Closing Date, to the effect that the conditions specified in Sections 8.1.1 and 8.1.2, to the extent relating to representations, warranties, covenants and agreements of such Seller, have been satisfied.
Seller’s Closing Certificate. Seller shall have delivered to Purchaser a Closing Certificate of the president or any authorized representative of Seller dated as of the Closing Date substantially in the form attached hereto as Schedule 9(c).

At the Closing, Seller shall deliver to Buyer a certificate of the Secretary or another officer of Seller, dated the Closing Date, certifying as to (i) the incumbency of the officers of Seller executing the Transaction Documents and (ii) the attached copies of Seller’s organizational documents and resolutions adopted by Seller’s Board of Directors authorizing the execution and delivery by Seller of the Transaction Documents and the consummation by Seller of the transactions contemplated thereby.
Seller’s Closing Certificate. Seller shall have delivered to Buyer a closing certificate, executed by a duly authorized officer of Seller, attesting as to the satisfaction of the conditions set forth in Section 7.1, Section 7.2, and Section 7.5.
Seller’s Closing Certificate. Seller’s Closing Certificate. Purchaser shall have received a certificate (the “Seller’s RFS Closing Certificate”) executed by an authorized officer of Seller, dated as of the RFS Closing Date, to the effect that the conditions set forth in Sections 6.1(a), (b) and (c) hereof have been satisfied.
Seller’s Closing Certificate. A duly executed certificate, dated as of the Closing Date, to the effect that the conditions specified in Sections 5.1 and 5.2 have been satisfied in accordance with the terms and provisions hereof.
Seller’s Closing Certificate. A duly executed certificate in the form attached hereto as Exhibit F (the “Seller’s Closing Certificate”) from Seller dated as of the Closing Date, stating that the representations and warranties of Seller contained in Article 3 of this Agreement are true and correct in all material respects as of the Closing Date;
