Common use of Seller’s Authority Clause in Contracts

Seller’s Authority. Each Seller has the partnership right, power, legal capacity and authority to execute, deliver and (subject to the receipt of the Necessary Consents) perform its obligations under this Agreement and the documents, instruments and certificates to be executed and delivered by Sellers pursuant to this Agreement. The execution and delivery of, and performance of the obligations contained in, this Agreement by each Seller and the transactions contemplated hereby have been, and all documents, instruments and certificates have been or as of the Closing will be, duly authorized by all necessary partnership action on the part of each Seller.

Seller’s Authority. Each Seller has the partnership corporate right, power, legal capacity and authority to execute, deliver and (subject to the receipt of the Necessary Consents) perform its obligations under this Agreement and the documents, instruments and certificates to be executed and delivered by Sellers Seller pursuant to this Agreement. The execution and delivery of, and performance of the obligations contained in, this Agreement by each Seller and the transactions contemplated hereby have been, and all documents, instruments and certificates have been or as of the Closing will be, duly authorized by all necessary partnership action on the part of each Seller.

Seller’s Authority. Each Seller has all individual power and authority and the partnership right, power, requisite legal capacity necessary to execute and authority to execute, deliver and (subject to the receipt of the Necessary Consents) perform its obligations under this Agreement and his Related Agreements and to perform his obligations hereunder and thereunder. This Agreement and the documents, instruments Related Agreements have been duly and certificates to be validly executed and delivered by Sellers pursuant to this Agreement. The execution and delivery of, and performance of the obligations contained in, this Agreement by each Seller and constitutes the transactions contemplated hereby have beenvalid and binding obligation of such Seller, and all documents, instruments and certificates have been or as of the Closing will be, duly authorized by all necessary partnership action on the part of each Sellerenforceable against such Seller in accordance with their respective terms.
