Common use of Seller’s Authority Clause in Contracts

Seller’s Authority. Such proof of Seller's authority and authorization to enter into this Agreement and consummate the transaction contemplated hereby and such proof of the power and authority of the individual(s) executing and/or delivering any instruments, documents or certificates on behalf of Seller to act for and bind Seller as may be reasonably required by Title Company; and

Seller’s Authority. Such proof of Seller's authority and authorization to enter into this Agreement and consummate the transaction contemplated hereby and such proof of the power and authority of the individual(s) executing and/or delivering any instruments, documents or certificates on behalf of Seller to act for and bind Seller as may be reasonably required by Title CompanyCompany or Buyer; and

Such proof and evidence of Seller's authority and authorization to enter into this Agreement and consummate the transaction transactions contemplated hereby hereby, and such proof of the power and authority of the individual(s) executing and/or delivering any instruments, documents or certificates on behalf of Seller any entity to act for and bind Seller such entity, as may be reasonably required by the Title Company; andCompany or Buyer, including, without limitation, any and all consents of any shareholders, directors, partners, limited partners or other persons whose consent to the transactions contemplated hereby is required.
