Seller Indemnified Parties. Subject to Section 8.4, from and after the Closing, Purchaser shall indemnify, defend and hold harmless Parent Seller and its stockholders, Affiliates (but not including the Target Companies and their Subsidiaries), employees, directors and officers (collectively, the “Seller Indemnified Parties”) for any and all Damages incurred by the Seller Indemnified Parties to the extent based upon, arising out of or related to (a) any breach of any representation or warranty Purchaser has made in this Agreement or any inaccuracy of any such representation or warranty; (b) any breach, violation or default by Purchaser of any covenant, agreement or obligation (other than any representation or warranty) of Purchaser in this Agreement; or (c) any Action or claim asserted, commenced or filed, which arises solely out of the Purchaser’s conduct of the business of the Target Companies or their Subsidiaries after the Closing Date.
