Security Event. If a party learns or has reason to believe that the other party’s Confidential Information has been disclosed or accessed by an unauthorized party (each, a “Security Event”), such party will immediately give notice of such event to the other party to the extent permitted by law or law enforcement authorities. In such notification, the party will report on the nature of the incident, the estimated impact on the other and investigative action taken or planned. Security Events shall include, without limitation, violations of Applicable Law. Notwithstanding anything in this provision, each party will also comply fully with all federal, state or local laws applicable to security breaches. Except as may be required by law or law enforcement authorities, to the extent the breach involves Client Portfolio Information, PFSC will not notify any of Client’s customers or potential customers of unauthorized access of such Security Event without Client’s express consent or upon Client’s specific instruction. The party that experiences the Security Event will be responsible for the costs of any required notifications.

Security Event i. In the event a Permitted User becomes aware of or suspects any NMLS data, including Public Use Information accessed through NMLS B2B ACCESS℠, has been used, disclosed or accessed by an unauthorized party as a result of an act or omission of a Permitted User, including by Subscriber’s employees, directors, officers, agents, representatives, independent contractors or any third party engaged by Subscriber (a “Security Event”), Permitted User shall immediately notify SRR, investigate in coordination with SRR, and keep SRR informed of the status and findings of the investigation.

In the event that Subscriber or a Permitted User learns or has reason to believe that any NMLS data, including Public Use Information accessed through NMLS B2B ACCESS℠, has been disclosed or accessed by an unauthorized party as a result of an act or omission of Subscriber or a Permitted User, including by Subscriber’s employees, directors, officers, agents, representatives, independent contractors or any third party engaged by Subscriber (a “Security Event”), Subscriber shall immediately notify SRR and investigate.

Security Event. If the Company so desires that the Facility again become unsecured following a Negative Security Event (even though no Positive Security Event has occurred since the occurrence of the Negative Security Event), it shall notify each Lender in writing of such desire within thirty days after the occurrence of the Negative Security Event (which notice shall identify the facts giving rise to the Negative Security Event), and the Facility shall again become unsecured (A) if and only if the Required Lenders so consent within thirty days after such notification from the Company (a "Negative Event Waiver") and (B) only so long as no further Negative Security Event (i.e. no Negative Security Event other than the event referred to in the Company's notice) has occurred and is continuing. If the Company's long term unsecured debt ratings decline further below "A-" as rated by S&P or "A3" as rated by Moodx'x, xx if any other Negative Security Event occurs after the Company has obtained a Negative Event Waiver, the Facility shall again become secured in accordance with this Section unless the Company obtains another Negative Event Waiver in accordance with the terms of the preceding sentence. Finally, if a Positive Security Event occurs subsequent to the occurrence of a Negative Security Event, the Facility shall become unsecured at the request of the Company, subject to and in accordance with the terms and conditions set forth in Section 4.11(a) above.

Security Event. In the event of a discovered or suspected Security Event, the Data Processor will provide notice without undue delay to the Data Controller. The notice shall include the following information to the extent it is reasonably available to the Data Processor at the time of the notice, and they will update the notice as additional information becomes reasonably available: • the dates and times of the Security Event; • the facts that underlie the discovery of the Security Event, or the decision to begin an investigation into a suspected Security Event, as applicable; • a description of the Personal Data involved in the Security Event, either specifically, or by reference to the data set(s), and • the measures planned or underway to remedy or mitigate the vulnerability giving rise to the Security Event. The Data Processor will take those measures available, including measures reasonably requested by you, to address a vulnerability giving rise to a successful Security Event, both to mitigate the harm resulting from the Security Event and to prevent similar occurrences in the future. The Data Processor will cooperate with your reasonable requests in connection with the investigation and analysis of the Security Event, including a request to use a third-party investigation. The Data Processor shall retain all information that could constitute evidence in a legal action arising from the Security Event and shall provide the information to the Data Controller upon request. Except to the extent required by law in the written and reasonable opinion of the Data Processor’s legal counsel. The Data Processor will not disclose to any third party the existence of a Security Event or suspected Security Event or any related investigation without the Data Controller`s prior written consent.
