Common use of Securities Exemption Clause in Contracts

Securities Exemption. The offer and sale of the Purchased Shares -------------------- to the Purchasers pursuant to this Agreement shall be exempt from the registration requirements of the Securities Act, the qualification requirements of the California Securities Law and the registration and/or qualification requirements of all other applicable state securities laws.

The offer and sale of the Purchased Shares -------------------- to the Purchasers Investors pursuant to this Agreement shall be exempt from the registration requirements of the Securities Act, the qualification requirements of the California Corporate Securities Law of 1968, and the registration and/or qualification requirements of all other applicable state securities lawslaws applicable to the Investors.
