Securities and Exchange Commission Certification. The Corporation represents and warrants that it does not and is not required to file reports with the U.S. Securities and Exchange Commission (“SEC”) pursuant to Section 13(a) or 15(d) of the United States Securities Exchange Act of 1934, as amended, and covenants that, in the event that it shall begin to so file, the Corporation shall promptly deliver to the Warrant Agent a certificate of the Corporation certifying such “reporting issuer” status and other information as the Warrant Agent may require at such given time. The Corporation understands that the Warrant Agent is relying upon the foregoing representation, warranty and covenant in order to meet certain SEC obligations with respect to those clients who are filing with the SEC.

The Company acknowledges that the Warrant Agent is relying upon the foregoing representation and covenants in order to meet certain United States Securities and Exchange Commission ("SEC") obligations with respect to those clients who are filing with the SEC.

The Corporation understands that the Warrant Agent is relying upon the foregoing representation, warranty and covenant in order to meet certain U.S. Securities and Exchange Commission obligations with respect to those clients who have reporting obligations in the United States.
