Section 8.2.7. 42 Except as provided in the following section, any vacation credit currently due but unused by the 43 new accrual date each year may be carried over for one (1) year following the accrual date with 44 the approval of the immediate supervisor and administration. No vacation may be carried over 45 for more than one (1) year beyond the date on which it became due; provided, however, no 46 employee shall be denied accrued vacation benefits due to District employment needs. A 47 specific vacation shall not exceed the employee's one years, yearly accrual (per Section 8.2.1 48 and 8.2.2) unless approved by the Superintendent.

Section 8.2.7. 11 Employees who work less than twelve (12) months per year shall receive payment for unused 12 accrued vacation prorated in their annual contract. Any employee who is discharged or who 13 terminates employment shall receive payment for unused accrued vacation credit with their 14 final paycheck. Any employee leaving without two (2) weeks written notice shall forfeit 15 accrued vacation credit and pay as liquidated damages. Section 8.2.7. Section 8.27 of the Existing Credit Agreement (Certain Obligations Respecting Subsidiaries) is hereby amended to add the following sentence as a new paragraph at the end of such section: “Notwithstanding the foregoing, Merger Sub shall not be required to comply with this Section 8.27 until the Escrow Termination Date.”
