The directors shall appoint a Secretary of the Company to keep minutes of shareholders' and directors' meetings and perform such other duties as may be assigned by the directors. The directors may also appoint a temporary substitute for the Secretary who shall, for the purposes of these Articles, be deemed to be the Secretary.

Secretary and Treasurer. At its first regular meeting of the year the Board shall elect a Secretary and a Treasurer from among the representatives designated by the governing bodies of the members to serve on an Executive Committee. The Secretary and the Treasurer shall be elected by the Board for one year terms. The Secretary and Treasurer shall perform all the duties and functions as provided for in the bylaws. In the absence of the Chair and Vice Chair the Secretary and Treasurer, respectively, shall preside over and act for the Board.
Secretary and Treasurer. Unless otherwise determined by the Board, the Secretary and Treasurer of the Authority will serve without compensation, other than to receive such allowance as may be authorized by the Board from time to time to cover expenses incurred by the Secretary and Treasurer in the performance of his or her duties on behalf of the Authority.

It is clearly understood that members of the above Committees will not absent themselves from their regular duties Unreasonably in order to deal with the matters relevant to their respective Committee, and that in accordance with this understanding, the Company will compensate such employees for time spent in dealing with employees’ grievances and during negotiations during regular working hours. The Company will schedule all grievance meetings during regular working hours. Payment for the Negotiating Committee will be lost wages of Base Rate plus to a maximum of eight (8) hours per day while meeting with the Company. The Company reserves the right to withhold payment if the Committee person does not conform to the accepted practice when dealing with the grievances or if any unreasonable abnormal amount of time is consumed in dealing with such matters. The President of the Local shall be assigned to day shift.
Secretary and Treasurer. The Board of Governors may elect or appoint such other Managers or agents as it deems necessary for the operation and management of the Company, with such powers, rights, duties and responsibilities as may be provided in the Operating Agreement, or as otherwise determined by the Board of Governors. Any of the positions or functions of those positions may be held by the same individual. The Members agree that Xxxxxx Xxxxxxxx will be the President until the earlier of either his resignation or removal by the Board of Governors as provided herein.
