Scopes of Work. SCI may purchase any of the Services by agreeing a Scope of Work with the Service Provider. The Parties will use reasonable efforts to agree a Scope of Work within the timescales required by the relevant Programme. The Service Provider will provide the Services from the date set out in the Scope of Work in accordance with its terms and the terms of this Agreement. The Parties acknowledge that the Service Provider has not been appointed on an exclusive basis to supply the Services and that SCI may purchase Services from any other third party and/or perform any part of the Services itself. SCI shall have no obligation to purchase a minimum quantity Services during the term and at its sole discretion may determine not to purchase any Services at all. Service Provider Obligations The Service Provider warrants, represents and agrees that: it shall provide the Services in accordance with the terms of this Agreement including the relevant Scope of Work(s); it shall provide the Services in accordance with applicable laws, including the laws of the country(ies) in which the Programme is being or shall be implemented; it shall perform the Services with the best care, skill and diligence in accordance with best practice in the Service Provider’s industry; it shall co-operate with SCI in all matters relating to the Services, and comply with SCI’s instructions; it shall obtain and maintain during the term of this Agreement all necessary licences, consents and/or approvals necessary to provide the Services, including registration and licensing by the relevant regulatory body/ies and comply with all relevant laws in relation to the Services; it shall put in place internal controls and monitoring systems which are in line with the requirements of the relevant local regulatory body/ies to monitor the Services (including “know your customer” checks where required); it shall allocate sufficient and high-quality resources to the Services to enable it to comply with its obligations under this Agreement, including Key Personnel where required by SCI; it shall promptly inform SCI of the absence (or anticipated absence) of, or any changes in, any member of the Key Personnel and not make any changes to Key Personnel without giving SCI prior written notice; it shall fully co-operate with SCI in relation to any tender or re-tender process which may, at the option of SCI, be carried out at any time in relation to the supply of any of the Services; it shall not enter into any contract...
Scopes of Work. (a) The Subrecipient shall administer the Program and perform the activities detailed in the Scopes of Work in a manner satisfactory to the City and otherwise in accordance with this Agreement. The Scopes of Work are set forth in Schedules I through IV annexed hereto.
Scopes of Work. The Scopes of Work, as attached and referenced herein in template form as Appendix, created by Cleveland and UT for each Project shall: include an overview of each Project; describe the purpose of the Project; identify Project objectives and deliverables; list the academic courses engaged in the Project; establish a timeline and major milestones; contain a proposed Project cost per academic course; and include Cleveland and UT Project-specific contact information. Each Scope of Work may be amended, in writing executed by each party’s authorized representative. The authorized representative for Cleveland is Xxxxxx Xxxxxxx, who serves as the City Manager for Cleveland, or other such individual as she may designate in writing. The authorized representative for the UT is Xx. Xxxxx X. Nelson, who serves as the Associate Vice Chancellor for Research, or other such individual as she may designate in writing. After execution of this Agreement, the parties may agree to add, modify, or eliminate Projects pursuant to the terms of this Agreement.

Scopes of Work. Scopes of Work are outlines of the production process, maintenance, change orders, work requirements, product prices, required development or implementation hours and pricing. All Scopes of Work are delivered for Client approval before production begins. The Parties to this Agreement may adopt multiple Scopes of Work pursuant to this Agreement. The Client’s execution of a Scope of Work demonstrates its assent to the terms and conditions therein the Scope of Work and this Terms and Conditions Agreement.
