SCOPE OF SERVICES AND DELIVERABLES. A.1. The Grantee shall provide all services and deliverables (“Scope”) as required, described, and detailed in this Grant Contract.
SCOPE OF SERVICES AND DELIVERABLES. The Services to be performed and the Deliverables to be provided by the Contractor are described in the Scope of Services Exhibit, attached hereto, and by this reference herein incorporated. District shall have the right to review and test the Deliverables following Contractor’s delivery of each to District to determine whether the Deliverables conform to the requirements of the Agreement to District’s satisfaction. The District may either: reject a Deliverable if it is Deficient or contains a Deficiency, or accept each Deliverable (“Acceptance”). If the District rejects the Deliverables, Contractor shall, at District’s request, promptly correct all Deficiencies and, thereafter, District shall again have the opportunity to review and test the Deliverables. If Contractor is not able to correct all Deficiencies in the Deliverables within 30 days following their receipt by District, District shall have the right to terminate this Agreement, which termination shall be deemed due to Contractor’s default.

SCOPE OF SERVICES AND DELIVERABLES. Company has entered into that certain Agreement and Plan of Merger and Reorganization dated July 21, 2022 between ARS Pharmaceuticals, Inc., Company, and Sabre Merger Sub, Inc., amended effective August 11, 2022 (collectively, the “Merger Agreement”). During the Term, Consultant shall provide, on an as-needed basis, not to exceed 20 hours per week unless mutually agreed, transition services and advise, consult and support the Company’s management team in connection with the closing of the Merger (defined in the Merger Agreement), winddown activities related thereto, and any Asset Dispositions (as defined in the Merger Agreement), and other services to and for the Company, and shall report directly to the Company’s Interim Chief Executive Officer.

PHASE II PARTIAL DEMOLITION OF NEIGHBORING BUILDING PROJECT UNDERSTANDING ▪ Project scope is limited to partial demolition of the neighboring building previously used as laundromat. ▪ Alba Architects will utilize an existing site survey (as produced by HEB) to indicate limits of demolition.

PHASE III ROOF, WINDOW & BOILER REPLACEMENT AND NEIGHBORING BUILDING RENOVATION IIIA ROOF REPAIR & REPLACEMENT PROJECT UNDERSTANDING ▪ Scope is limited to roof replacement of existing fire department, excluding the xxxx tower roof previously addressed in Phase I, and the existing lower roof section adjacent to the xxxx tower. ▪ Existing condition is a built-up flat roof with stone ballast. ▪ New roofing will be EPDM membrane, either full adhered or mechanically fastened, suitable for flat roof applications. ▪ Alba Architects will conduct on-site measured verification of existing roof dimensions in order to produce an existing condition roof plan (Note, this is not a full set of existing condition drawings).
