Scope of Services and Client Duties. The Company is retaining Xxxx Xxxxx and Xxxxxxxx Childs as co-CROs. Their responsibilities will be to provide the Company with the Services outlined in this Agreement, report to the Board and work collaboratively with the Company’s senior management team and the Company’s professionals and other advisors. The CROs will keep the Company informed of the progress of the matters the CROs are handling and respond to the Company’s inquiries. The Company understands the need for truthful, complete and accurate information. The Company also understands the need to cooperate and to keep the CROs informed on a timely basis of any developments that may impact the Services that the CROs are to provide. The Company recognizes the travel restrictions currently mandated by federal, state and local governmental authorities. When travel restrictions are lifted in the jurisdictions in which the CROs reside and in Nashville, Tennessee where the Company maintains its corporate headquarters, the CROs will spend such time in Nashville and visiting restaurant locations as is necessary for the CROs to perform their duties and obligations under this Agreement.

  • Scope of Services The specific scope of work for each job shall be determined in advance and in writing between TIPS Member, Member’s design professionals and Vendor. It is permitted for the TIPS Member to provide a general scope description, but the awarded vendor should provide a written scope of work, and if applicable, according to the TIPS Member’s design Professional as part of the proposal. Once the scope of the job is agreed to, the TIPS Member will issue a PO and/or an Agreement or Contract with the Job Order Contract Proposal referenced or as an attachment along with bond and any other special provisions agreed by the TIPS Member. If special terms and conditions other than those covered within this solicitation and awarded Agreements are required, they will be attached to the PO and/or an Agreement or Contract and shall take precedence over those in this base TIPS Vendor Agreement.

  • Routing for Operator Services and Directory Assistance Traffic For a Verizon Telecommunications Service dial tone line purchased by MLTC for resale pursuant to the Resale Attachment, upon request by MLTC, Verizon will establish an arrangement that will permit MLTC to route the MLTC Customer’s calls for operator and directory assistance services to a provider of operator and directory assistance services selected by MLTC. Verizon will provide this routing arrangement in accordance with, but only to the extent required by, Applicable Law. Verizon will provide this routing arrangement pursuant to an appropriate written request submitted by MLTC and a mutually agreed-upon schedule. This routing arrangement will be implemented at MLTC's expense, with charges determined on an individual case basis. In addition to charges for initially establishing the routing arrangement, MLTC will be responsible for ongoing monthly and/or usage charges for the routing arrangement. MLTC shall arrange, at its own expense, the trunking and other facilities required to transport traffic to MLTC’s selected provider of operator and directory assistance services.
