Common use of Scope of Professional Services Clause in Contracts

Scope of Professional Services. Subject to the terms and conditions of this Agreement, Blue Planet will provide You with Professional Services as set forth in the applicable statements of work executed or agreed by Blue Planet and You and/or Quotes executed or agreed upon by You (each, a “SOW”). Each SOW will include, at a minimum: (a) a description of the Professional Services and any documents, work product or materials to be provided to You (each, a “Deliverable”); (b) key project milestones and relevant acceptance criteria; (c) the applicable fees to be invoiced against each deliverable; (d) identification of each parties’ project lead (each, a “Project Lead”); (e) any dependencies You must provide (i.e. information, access, specifications, technical requirements, or hardware) and (f) the date upon which the Professional Services are expected to commence and the term of such SOW. All SOWs shall be deemed part of and subject to this Agreement regardless as to whether separately executed or not.
