Scope of Consulting Services. During the Consulting Period, the Executive shall consult with the Company Group and its executive officers on an as-needed basis regarding the business and operations of the Company and the Company Group, as well as the transition of duties of the Executive to other employees of the Company (the “Consulting Services”). The Executive shall report directly to, and shall perform the Consulting Services as directed by, the Chief Executive Officer of the Company, or such other officer of director of the Company Group as may be determined from time to time by the Company, in its sole discretion. The Executive also will cooperate with the Company and its affiliates in any pending or future litigation or investigations or other disputes concerning third parties in which the Executive, by virtue of his prior employment with the Company, has relevant knowledge or information. In connection with providing the Consulting Services, the Executive shall comply in full with all applicable law, and rules and regulations and with the Company Group's Code of Business Conduct & Ethics (as such Code applies to consultants of the Company). Scope of Consulting Services. Consultant shall provide to the Company general advice and input regarding shareholder relations, corporate structure and business development (the “Advisory Services”), solely upon the request of the Board of Directors. The Company shall have the right to identify Consultant as an advisor to the Board of Directors.
Scope of Consulting Services. The Corporation retains CGW, and CGW accepts engagement by the Corporation, to provide financial advisory and management consulting services to the Corporation and its subsidiaries. In such capacity, CGW will assist the Corporation and its subsidiaries in financial and strategic planning and analysis. Such consulting services shall include having a representative of CGW in attendance at all meetings of the Board of Directors of the Corporation, evaluation of and negotiations with potential candidates for acquisition by the Corporation, assisting the Corporation in relations with its lenders, and providing advice to the Corporation on its capital needs and structure, including general advice and assistance regarding refinancings or public offerings or sale of the Corporation. CGW agrees to be available to the Corporation as needed and to cause such services to be provided by persons employed or retained by or affiliated with CGW or its general partner. Unless required by reason of the nature of the particular consulting service, such services may be performed at the offices of CGW.
Scope of Consulting Services. During the term of this Agreement, you will render consulting services to CME and CME Entities upon request with respect to the futures business and industry and related matters and other matters in which you have expertise. Scope of Consulting Services. The Company and the Consultant agree that during the Consulting Period (as defined in Section 3(A) hereof), the Consultant shall provide to the Company litigation support services and such strategic advisory services as may be assigned to Consultant from time to time (the “Consulting Services). The Consulting Services shall be provided as reasonably requested from time to time by the Company’s Executive Vice President, Human Resources (the “EVP-HR”), except in connection with litigation support services, as to which the Consulting Services shall be at the request of the Company’s Chief Legal Officer (the “CLO”) or his designee. During the Consulting Period, the Consultant shall report to the EVP-HR and the CLO, as applicable; provided, however, that, under no circumstances shall the EVP-HR or the CLO provide the Consultant with any instructions or suggestions relating to the SEC Investigation (as defined in the Separation Agreement) or any of the issues raised in connection therewith.
Scope of Consulting Services. Subject to the terms and conditions set forth in this Agreement, FPL may from time to time retain Consultant to perform certain consulting/professional services (“Consulting Services”), which shall be set forth in applicable Statement of Work (“SOW”) documents which shall describe the scope of Consulting Services that will be performed, the fees for such Consulting Services, and the work that will be provided to FPL following the completion of such Consulting Services. Scope of Consulting Services. Consultant shall utilize its knowledge and skills to provide advice and advocacy on the matters as described in the Focus Areas set forth in Section II below. Consultant agrees to work up to 32 hours in any one-month period and a total of no more than 192 hours during the Term of the Agreement. Any excess hours must be mutually agreed upon by the Parties prior to any excess work being performed. Consultant shall coordinate the scheduling of hours in which to perform consulting services with the FPL designated representative.
