Scope of Consultancy. The consultancy tasks contains planning of all growing techniques, such as; propagation, crop training, plant handling, crop hygiene, irrigation strategy, climate control. The consultant will start analysing climate data to evaluate the possibilities to the crop and variety and difficulties for the client. Having the climate data and the study of the technical possibilities the consultant can provide a crop plan (______________) regarding plant density, plant type, pruning, plant balance and all other items to make a year round plan. The consultant will also provide advice on young plants in the greenhouse of the client.Every visit will be divided in one day advice on the location of the customer and one day training on the location of the client. The customer and the consultant will discuss topics of training during the first visit. 6.
Scope of Consultancy. Company hereby retains Consultant for, and Consultant hxxxxx agrees to act as Consultant in providing the Services to the Company. In doing so, Consultant shall perform his duties, responsibilities and functions to the Company to the best of his abilities in a diligent, trustworthy and professional manner and shall comply with the Company’s lawful policies and procedures in all material respects. Consultant represents and warrants to the Company that he or she is not party to any employment, consulting, non-competition, confidentiality or similar agreement that would inhibit his ability to perform Consultant’s obligations under this Agreement. Consultant agrees to indemnify and hold the Company harmless against all losses, costs and damages arising out of or resulting from the inaccuracy or breach of such representations and warranties. The Services means (i) fulfilling the role of Executive Chairman (ii) leadership of the Board of Directors (iii) oversight of the development of the Company’s strategic plan (iv) management of the Interim CEO (and ultimately the permanent CEO) and by extension the leadership team and (vi) and other duties and services as may be necessary to lead the Company. Consultant shall report to the Nominating & ESG Committee of the Board.

Consultant shall report to Xxxx Xxxxx, CFO or such other person designated by the Company in writing with regular updates regarding Services rendered.
Scope of Consultancy. During the Term, Consultant will serve as Interim CEO. As Interim CEO, Consultant shall perform such services and duties as reasonably requested by the Board, to whom he shall report. The Company will rely on Consultant to provide his best efforts and as much time as necessary to provide leadership for the Company, although it is expected that Consultant will perform the services and duties hereunder on a full-time basis. The Parties agree that Consultant will perform his services and duties hereunder from his place of residence or at the Company’s principal place of business in San Antonio, Texas; however, the Company expects Consultant to spend as much time as reasonably practicable at the Company’s principal place of business in San Antonio, Texas.

  • Position of Employment Employee expressly acknowledges that the obligations contained in paragraphs 2 and 3 of this Agreement shall remain in full force and effect during Employee’s employment in any position for any Company Group member and with respect to any Confidential Information.
