The scope of the Project is set forth in the attached Exhibit 1. The Project details and associated timelines are set forth in the attached Exhibit 2. The Project Service fees, associated expenses, and payment structure are set forth in the attached Exhibit 3. Any modification to this SOW requires a Change Order as set forth in the attached Exhibit 4. All Exhibits and amendments thereto are incorporated herein by reference.

Scope and Approach. In order to examine this ‘landscape’ we take a comprehensive view to the various elements of the COBACORE concept, in particular the interactions within and between the groups. We are not focusing solely on the tools (information technology) but rather on information systems, including the organization, process, methods and other aspects. Specifically for each group of the COBACORE concept we first examine the organizations and structures within that group. This examination focusses on how a specific group is organized, what –if any- command and control structures are in place, what their mandate is and their responsibility towards other organizations and groups. Next we examine the processes that are in place as well as methods, answering if and how a group engages and continues to interact with other groups. Finally we also look at the tools and technologies used to (potentially) support these process. This examination is draws on the results from the previous case studies, the partial evaluation conducted by work package 5, the accumulated knowledge by the partners over the past 1.5 year of the project and own research conducted by the work package 1 members. The document structure follows this approach. In the next section we illustrate the links between the analysis presented in this document and the overall COBACORE project, as well as the other documents within WP1 and the deliverables of other work packages. In the next chapters we examine the elements of the COBACORE concept for each of the three user groups: the affected community (chapter 3), the responding community (chapter 4) and the responding professionals (chapter 5). For each of the groups we examine the aforementioned aspects: the organization and structure, the processes and procedures and the technology, tools and initiatives that are used by or focus on this group. In addition we examine how several of the introduced aspects, specifically: interactions, are implemented in other sectors, such as service organizations in the commercial sector. We end by listing the various results of our analysis and how these align with or can be incorporated and/or implemented in the further development of the COBACORE project. Finally we present our overall conclusion of this analysis.

The Project Deliverables, associated timeline, fees and payment schedule are as set forth in the Project Scope Document. The Project Scope Document also includes certain Tasks and associated delivery dates that are the responsibility of Licensee. Licensee agrees to provide appropriate project resources, including but not limited to equipment, data, information, workspace and appropriate and cooperative personnel, to facilitate the performance of the services, as follows: § sufficient personal computer(s) and networked, if applicable § modem line § access to SAPNet and connection to Online Support System Licensee agrees that the fees and timeline set forth in the Project Scope Document shall be subject to change if the Tasks are not performed in a timely and appropriate manner and/or if the project resources are not provided.
Scope and Approach. COVID-19 has led to a health crisis in Nigeria with cases increasing daily and threatening to overwhelm health systems. The crisis, as seen in other countries, has also had profound impacts not only on health but also on the economic, peace and security and eroding social fabric of the country. This calls for a holistic and sector-wide response encompassing the whole-of-Government approach to address this. The ONE UN Response Plan to COVID-19 in NIgeria reflects to support the national effort. The Basket Fund will support this at a number of levels: • at Federal level, the COVID-19 Basket fund supports the Ministry of Health and their agencies and departments including the NCDC and NPHCDA, who are leading the health-related response and the National Emergency Management Agency (NEMA) to other sector responses including on social protection; • at State level, the Basket Fund extend support in leading the crisis response through the leadership of Governors and systems supporting the COVID-19 response including state level task forces and state commissioners , contributing to strengthening design and implementation of State level energy preparedness and response plans linked to the Federal plan and eventually supporting the design and deployment of localised recovery plans. • the Local Government Areas (LGAs) level which is key given much of the service delivery is overseen here including primary health care. The LGA’s also have an important role in terms of ensuring dissemination of messages, identifying and addressing local level needs and vulnerable persons as well as issues relating to social cohesion. Hence, the Basket Fund supports LGAs to implement this initiatives. The COVID-19 Basket Fund will allow for a swift, coordinated response and ONE UN response grounded on the joint UNCT/HCT strategy for COVID-19 response and on the wider UN’s Delivering as One (DaO) approach. The caseload is accelerating across the country in Lagos and Abuja in particular but now spreading to other states and now present in 22 states including Abuja(FCT)41. The fund will complement Funds already provided by the State, UN and International Community but also work in tracking the response to the crisis to better identify gaps and support in a complementary manner providing the health system with support so it is better prepared, to increase surveillance capacities so States can better identify and so delay transmission buying time; to ensure messaging reaches as many as possib...
Scope and Approach. Working in collaboration with Client stakeholders and Client vendor, Insight will review the current workflow and technical specifications to identify a single workflow which will be used as a baseline for the development of an MVP to meet the objectives of the project as described in the Executive Summary section (above). Anticipated activities include:  Conduct interviews with Client stakeholders and Video Services Provider to review existing environments, establish integration points, and finalize system design to ensure alignment with desired business outcomes and objectives (up to 3 interviews)  Define single use case (single video stream) for MVP scoping  Review current Azure subscriptions, Resource Groups, and service requirements for target solution deployment  Identify and document any security requirements for target solution following established and/or recommended protocols  Initial project setup to include: o Establishing user access to systems o Initial Azure resource provisioning o Establishment of Azure DevOps project for activity tracking  Implement instrumentation and telemetry for system monitoring and compliance reporting  Development of reference architectures and any accompanying documentation that detail the design specifications for the target solution  Develop and deploy the solution to non-production target environment following the initial priorities as outlined below o Required Azure resources manually provisioned and ready for consumption o Create Azure based Web Jobs to poll and retrieve uncategorized videos from the vendors system and persist them to blob storage in Azure o Implement process(es) to automate the encoding and analysis of uncategorized videos using Azure Media Services and store derived metadata in a searchable database  Conduct knowledge transfer activities with Client engineers throughout the project life cycle to enable maintenance and future planning

  • Licenses and Approvals Contractor shall obtain and keep current all necessary licenses, approvals, permits and authorizations required by Applicable Laws to provide the Work. Contractor will be responsible for all fees and taxes associated with obtaining such licenses, approvals, permits and authorizations, and for any fines and penalties arising from its noncompliance with any Applicable Law.

  • Development and Regulatory Milestones With respect to each of the following milestones, Ikaria shall pay BioLineRx the corresponding payment set forth below within [**] days after the achievement by Ikaria, its Affiliates or Licensees of such milestone: MILESTONE PAYMENT

  • Regulatory Activities Beginning on the Effective Date and to the extent UGNX remains the Lead Development Party with respect to a particular territory, subject to and in accordance with the terms and conditions of this Agreement and the requirements of Applicable Laws, UGNX, shall: (a) use Commercially Reasonable Efforts to file (or have filed) all Regulatory Filings with respect to the Licensed Products in the Field in order to obtain Marketing Approvals in each country in the Territory and the European Territory (or to obtain the European Centralized Approval in the European Core Territory) and in order to obtain Pricing and/or Reimbursement Approvals in the Profit Share Territory; (b) respond in a timely fashion to requests for data and information from Regulatory Authorities with respect to the Licensed Products in the Field in the Territory and the European Territory; and (c) meet with officials of the Regulatory Authorities at such times as may be requested by such Regulatory Authorities with respect to the Core Development Activities (“Regulatory Activities”), provided that KHK will have primary responsibility for obtaining, and UGNX shall provide all assistance reasonably requested by KHK, in relation to Pricing and/or Reimbursement Approvals for the Licensed Products in the Field in the European Territory. For the avoidance of doubt, UGNX will be responsible for obtaining, and KHK will provide all assistance reasonably requested by UGNX, in relation to Pricing and/or Reimbursement Approvals, if any, for the Licensed Products in the Field in the Profit Share Territory as part of the UGNX Core Development Activities, it being understood that the costs incurred by UGNX in connection with such activities will be shared equally (50/50). All such Regulatory Activities will be conducted in a manner consistent with the Core Development Plan and coordinated by the JSC in accordance with Article 3. Without limiting the applicability of the foregoing and the remainder of this Article 5, UGNX shall interface with the applicable Regulatory Authority(ies) and, through the JDC, shall keep KHK reasonably informed of all material events and developments occurring in the course of the Regulatory Activities, including scheduled UGNX regulatory strategy discussions and meetings with Regulatory Authorities in the Territory and the European Territory relating to the Licensed Products in the Field.

  • Milestones Subject to the provisions of the SGIP, the Parties shall agree on milestones for which each Party is responsible and list them in Attachment 4 of this Agreement. A Party’s obligations under this provision may be extended by agreement. If a Party anticipates that it will be unable to meet a milestone for any reason other than a Force Majeure event, it shall immediately notify the other Parties of the reason(s) for not meeting the milestone and (1) propose the earliest reasonable alternate date by which it can attain this and future milestones, and (2) requesting appropriate amendments to Attachment 4. The Party affected by the failure to meet a milestone shall not unreasonably withhold agreement to such an amendment unless it will suffer significant uncompensated economic or operational harm from the delay, (1) attainment of the same milestone has previously been delayed, or (2) it has reason to believe that the delay in meeting the milestone is intentional or unwarranted notwithstanding the circumstances explained by the Party proposing the amendment.

  • Know-How Necessary for the Business The Intellectual Property Rights are all those necessary for the operation of the Company’s businesses as it is currently conducted or as represented, in writing, to the Purchasers to be conducted. The Company is the owner of all right, title, and interest in and to each of the Intellectual Property Rights, free and clear of all liens, security interests, charges, encumbrances, equities, and other adverse claims, and has the right to use all of the Intellectual Property Rights. To the Company’s knowledge, no employee of the Company has entered into any contract that restricts or limits in any way the scope or type of work in which the employee may be engaged or requires the employee to transfer, assign, or disclose information concerning his work to anyone other than of the Company.

  • Third Party Vendors Nothing herein shall impose any duty upon DST in connection with or make DST liable for the actions or omissions to act of the following types of unaffiliated third parties: (a) courier and mail services including but not limited to Airborne Services, Federal Express, UPS and the U.S. Mails, (b) telecommunications companies including but not limited to AT&T, Sprint, MCI and other delivery, telecommunications and other such companies not under the party’s reasonable control, and (c) third parties not under the party’s reasonable control or subcontract relationship providing services to the financial industry generally, such as, by way of example and not limitation, the National Securities Clearing Corporation (processing and settlement services), Fund custodian banks (custody and fund accounting services) and administrators (blue sky and Fund administration services), and national database providers such as Choice Point, Acxiom, TransUnion or Lexis/Nexis and any replacements thereof or similar entities, provided, if DST selected such company, DST shall have exercised due care in selecting the same. Such third party vendors shall not be deemed, and are not, subcontractors for purposes of this Agreement.

  • Consents, Licenses and Approvals The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of a Responsible Officer of the Borrower (i) attaching copies of all consents, authorizations and filings referred to in Section 5.4, and (ii) stating that such consents, licenses and filings are in full force and effect, and each such consent, authorization and filing shall be in form and substance satisfactory to the Administrative Agent.
