Scientific Advisory Committee. (1) The Scientific Advisory Committee established in accordance with paragraph (7) of Article VI of this Agreement shall give advice to the Council, in particular with regard to proposals from the Director-General on the realisation of the programme of the Laboratory.
Scientific Advisory Committee. The General Assembly shall establish a Scientific Advisory Committee (SAC): to examine and report on issues of strategic scientific importance within their fields of competence; to propose programs or projects for adoption as activities of APPEC; and to organize activities or carry out other tasks entrusted to them by the General Assembly. The General Assembly shall nominate the Chairperson of the SAC among its members for a mandate of two (2) years, renewable once. The Chairperson shall convene the SAC at least once a year and shall report to the General Assembly. The operation of Scientific Advisory Committee shall be set under the rules of procedure of APPEC as approved by the General Assembly. The members serve ‘ad personam’.
Scientific Advisory Committee. Within a reasonable time from the date hereof, the Shareholders shall appoint a scientific advisory committee (the "Scientific Advisory Committee") composed of individuals with expertise in the Field. The Scientific Advisory Committee shall be composed of [***], or such other number as the Shareholders shall determine. Each Shareholder shall appoint [***] of the Scientific Advisory Committee, and the appointing Shareholder shall have the right to terminate and replace such members of the Scientific Advisory Committee, with or without cause, without the consent of the Board. The Chief Executive Officer shall recommend, and the Board shall ratify, by Supermajority Approval, [***] of the Scientific Advisory Committee. If there is no Chief Executive Officer, the Board shall select such [***] of the Scientific Advisory Committee by Supermajority Approval. The Board shall have the right to terminate and replace such members of the Scientific Advisory Committee by Supermajority Approval, with or without cause. The Scientific Advisory Committee will meet at least twice each fiscal year. No action shall be taken at any meeting of the Scientific *** CONFIDENTIAL TREATMENT GRANTED 21 Advisory Committee unless at least [***] Scientific Advisory Committee representatives appointed by each of the Shareholders shall be present. The Scientific Advisory Committee shall advise and assist the Board and the Officers with respect to all aspects of the Research, including but not limited to the preparation of the Annual Plan.

Scientific Advisory Committee. BDSI acknowledges that DNDi’s continued performance of the R&D Plan is subject to review by DNDi’s Scientific Advisory Committee, which may recommend to terminate DNDi’s performance of the R&D Plan at any time.
Scientific Advisory Committee. The Company shall establish a scientific advisory committee to which the Investor shall have the right to designate one member. The Company shall reimburse such member for the member's reasonable out-of-pocket expenses incurred with attending meetings of the committee and shall pay such member the same compensation paid to other non-employee members of the committee.
Scientific Advisory Committee. The Board shall establish a "Scientific Advisory Committee" to render non-binding advice to the Company on scientific and research issues, techniques, problem solving and goals, all as relevant to the Research Program. The Board shall define the goals and tasks of the Scientific Advisory Committee and establish rules for compensation (if any), expense reimbursement, and proprietary rights with respect to the members thereof. Members of the Scientific Advisory Committee will serve at the pleasure of the Board. The Scientific Advisory Committee will consist of the members of the Scientific Management Committee, together, initially, with Xxxxx Xxxxxx from Texas A&M, Xxxxxx Xxxxxx from Salk, and additional members, including if appropriate scientific personnel from the University of Edinburgh, and one or more other Alliance Parties, may be invited to join the Scientific Advisory Committee as may be recommended from time to time by the Scientific Management Committee, with the approval of the Board. The initial chair of the Scientific Advisory Committee is Xxxxx Xxxxxx, who is appointed to a one-year term of office; provided, however that the Board may remove the chair of the Scientific Advisory Committee and appoint a replacement at any time for any or no reason. Members of the Board will receive notice of, and an invitation to attend, all meetings of the Scientific Advisory Committee.
Scientific Advisory Committee. The Scientific Advisory Committee shall review the scientific program being carried out by CampaMed and Optigene to support their respective product developments as licensed by GSI. The goals outlined by the Product Review Committee will be evaluated against the research programs to be conducted by CampaMed and Optigene to ensure optimization and cost-effective support for the market development of GSI licensed products. The Scientific Advisory Committee shall be comprised of three (3) individuals, with one appointed by each party. The Committee shall meet every three (3) months, and after each meeting shall provide a report to the Board of Directors detailing its recommendations, which may include additional research projects.
Scientific Advisory Committee. Dr. Xxx Xxxx xxxll organize for the benefit of Ilex Oncology a Scientific Advisory Committee (the "SAC") which shall be composed of such persons as may be appointed by Ilex Oncology in consultation with Dr. Xxx Xxxx. Xhe SAC shall be organized and operate pursuant to a policy developed by Dr. Xxx Xxxx xxx
Scientific Advisory Committee. 10(1) The Scientific Advisory Committee shall consist of one member appointed by each Associate and not more than two additional members selected and appointed by the Council from the international scientific community.
