Common use of Schedule 3 Clause in Contracts

Schedule 3. 12 is a true and accurate list as of the date hereof of all Permits held by the Company used in the Business. Except for such Permits, there are no permits, licenses, consents or authorizations, whether federal, state, local or foreign, which are necessary for the lawful operation of the Business. The Company is in compliance in all material respects with all requirements and limitations under such Permits. No employee, officer, director, equity holder, or manager of the Company owns or has any interest in any such Permit.

Except for such Permits, there are no permits, licenses, consents or authorizations, whether federal, state, local or foreign, which are necessary for the lawful operation of the Business. The To the knowledge of the Active Shareholders, each Company Entity is in compliance in all material respects with all requirements and limitations under such Permits. No employee, officer, director, equity holder, or manager of the a Company Entity owns or has any interest in any such Permit; except as listed in Schedule 3.12.
