Save Harmless. The Association indemnifies and holds the Board harmless against any and all claims, demands, suits, and other forms of liability, including liability for reasonable counsel fees and other legal costs and expenses that may arise out of or by reason of any action taken or not taken by the Board in conformance with these provisions.
Save Harmless. The Union shall hold harmless and indemnify the Employer from any and all claims, demands, suits and any and all other forms of liability that shall arise out of or by reason of an action taken or not taken by the Employer for the purpose of complying with this Article.
Save Harmless. The Association agrees to indemnify and save the Board, and including each individual school board member, harmless against any and all fees, awards, claims, demands, costs, suits, judgments or other forms of liability that may arise out of or by reason of, action by the Board for the purpose of complying with this Agreement.
Save Harmless. Owner shall indemnify, defend and save Broker harmless from all loss, investigation, 9 suits, damage, cost, expense (including attorneys fees) liability or claims for personal injury or property damage 10 incurred or occurring in, on or about the Property. 11
Save Harmless. A. If any provision of this Agreement or any application of the Agreement to any employee or group of employees shall be found contrary to law by a court of competent jurisdiction, then such provision or application shall not be deemed valid and subsisting except to the extent permitted by law, but all other provisions or applications shall continue in full force and effect.
Save Harmless. In the event of any action against the Board brought in a court or administrative agency because of its compliance with this Article, the Association agrees to defend such action, as its own expense and through its own counsel, provided:
Save Harmless. The Union and its members shall hold the Employer harmless with respect to any liability which the Employer might incur as a result of deductions and remittances.
Save Harmless. The Association shall indemnify and save the Board harmless against any and all claims, demands, suits, and other liabilities arising from acts of commission or omission by the Association or its agents in respect to the provisions of items 3.7 and 3.8 of this Article, and particularly in reliance of any list, notice of assignment furnished by the Association or its agents under any of the preceding provisions of items 3.7 and 3.8 of this Article.
Save Harmless. The Union shall indemnify and save the Board harmless against any and all claims, demands, suits and other liabilities arising from acts of commission or omission by the Union or its agents in respect to the provisions of items 6, 7 and 13 of this article.
Save Harmless. The Association shall indemnify and save the District harmless against any and all claims, demands, suits, orders, judgments and other forms of liability against the District which arise out of the District compliance with this provision. The District shall notify and tender the defense to the Association within fifteen (15) days of receiving any complaint regarding enforcement of this provision. If the District fails to notify the Association within fifteen (15) days, the Association obligation under this provision shall be void.
