Satisfaction Requirement. Governing Law. THIS AGREEMENT SHALL BE CONSTRUED AND ENFORCED IN ACCORDANCE WITH, AND THE RIGHTS OF THE PARTIES SHALL BE GOVERNED BY, THE INTERNAL LAW OF THE STATE OF NEW YORK.

If any agreement, certificate or other writing, or any action taken or to be taken, is by the terms of this Agreement required to be satisfactory to any Purchaser, to any holder of Notes or to the Required Holder(s)Buyer, the determination of such satisfaction shall be made by such Purchaser, such holder or the Required Holder(s), as the case may be, Buyer in the its sole and exclusive judgment (exercised in good faith) of the Person or Persons making such determination.

Satisfaction Requirement. If any agreement, certificate or other writing, or any action taken or to be taken, is by the terms of this Agreement required to be satisfactory to any Purchaser, to any holder of Notes Purchaser or to the Required Holder(s)Holders, the determination of such satisfaction shall be made by such Purchaser, such holder Purchaser or the Required Holder(s)Holders, as the case may be, in the sole and exclusive judgment (exercised in good faith) of the Person or Persons making such determination.

If any agreement, certificate or other writing, or any action taken or to be taken, or any other thing, is by the terms of this Agreement required to be (or is construed to be required to be) satisfactory to any Purchaseryou, to any holder of Notes or to the Required Holder(s), the determination of such satisfaction shall be made by such Purchaseryou, such holder or the Required Holder(s), as the case may be, in the sole and exclusive reasonable judgment (exercised in good faith) of the Person or Persons making such determination.
