OMP will endeavor to include in its Product invoice a notation to the effect that the Product is distributed by OMP as distributor for LifeCell.

Sales Representative. The Inside Sales Representative (ISR) is responsible for all aspects of direct communication and participation by customers. The ISR monitors and responds to customer RFQs and is responsible for generating Sales Quotations in accordance with the Master Agreement terms and conditions. The ISR is also responsible for Order Processing of newly received customer purchases and executes our ISO-certified procedures for ensuring the accuracy and completeness of the purchase details. Finally, the ISR proactively surveys customer satisfaction to ensure the PMO’s continuous process improvement.

Company representative shall have primary responsibility for processing and correcting all breaches of this contract and shall be authorized to accept emergency and special orders. Subject to the terms and conditions herein, LookSmart hereby appoints Representative as a sales representative for the Network in the Territory, and Representative hereby accepts such appointment. Representative’s authority shall be to solicit orders for the Network from customers within the Territory in accordance with the terms of this Agreement and to service such customers as well as identify and recruit potential publisher partners for the LookSmart Network. Representative shall not have the authority to make any commitments whatsoever on behalf of LookSmart. LookSmart retains the right to sell the Network worldwide, including in the Territory. Representative acknowledges that LookSmart may sell the Network to representatives and resellers who have the right to resell the Network, and that LookSmart cannot prevent customers from within the Territory from purchasing the Network through such channels.
