Sales Procedures. The Company and MP Securities agree to cooperate with each other in carrying out the subscription procedures and selling procedures described in the “Plan of Distribution” section of the Prospectus and the summary attached hereto as Exhibit C.

Sales Procedures. 4.1Orders for Products placed by Marizyme from time to time hereunder must be in writing and shall specify the quantities, shipping instructions and shipping schedule requested by Marizyme, and the delivery term, price and payment terms as previously agreed by the parties. Orders are not binding unless accepted by Somahlution and such acceptance by Somahlution shall not be unreasonably withheld. All shipping dates are estimates, and in any event shall be no more than sixty (60) days from order acceptance with respect to the Products. Somahlution shall not be responsible for shipping delays or failure of delivery attributable to circumstances beyond its reasonable control. In the case of a Product shortage, Somahlution reserves the right to allocate its production among its customers (including its distributors) on such basis as Somahlution may reasonably determine, in its sole discretion, provided Somahlution promptly notifies Marizyme of its inability to deliver Product and provides an estimated future delivery date. Marizyme may, in its sole and reasonable discretion, either accept the future delivery date proposed by Somahlution or cancel the applicable purchase order(s). The parties shall revise and reduce any Minimum Purchase Requirement that Marizyme is unable to meet as a result of Somahlution’s inability to supply Products. Somahlution may make delivery of the Products in installments, subject to Marizyme’s agreement in writing; all such installments to be separately invoiced and paid for when due per invoice, without regard to subsequent deliveries. Any delay in delivery of any installment beyond Somahlution’s reasonable control shall not relieve Marizyme of its obligations to accept remaining deliveries provided Marizyme is promptly notified of such delay.
Sales Procedures. Grantee shall in its initial communication or contact with a non- Subscriber or current Subscriber seeking alternative options, inform the non-Subscriber of all levels of Service available, including the lowest priced Basic Cable Service tier. Grantee shall have the right to market door-to-door during reasonable hours consistent with local ordinances and regulation.
Sales Procedures. The following procedures shall be used as a guideline for transactions. If modifications of these procedures are deemed necessary, they must be established and agreed upon in writing between the agencies involved in the sale. The Listing Agency, as designated in the following, has obtained from the Seller a signed exclusive listing agreement, which is current (Mandatory). Upon request of a Selling Agent, he or she shall be permitted by the Listing Agent to tour the listed property with a prospective purchaser with minimal or no personal contact with the Listing Agent. Should the Selling Agent require and request further assistance, the Listing Agent or Broker should provide such assistance. The Listing Agent shall refrain from offering a prospective purchaser any personal business card or company material or any other verbal information, unless specifically invited to do so by the Selling Agent. (Penalty Classification “C”) The MLS BCS will recognize for purposes of arbitration or jurisdiction, relative to enforcing payment of commissions, the registration of clients between Member Agencies when individual Member Agencies state in their listings on the on-line system that they will honor written registration of clients toured on their specific listings by other Member Agencies, or where such a written registration has been mutually agreed in writing. (Penalty Classification “A”) The Selling Agency, as designated in the following, has obtained from the Purchaser
