Sales Office. The Purchaser shall not interfere with the completion of the Condominium and the Adjoining Component, if applicable. Until the same are completed and all units(/lots) have been sold, leased or conveyed and all space contained within the Condominium and Adjoining Component has been leased and/or conveyed (if any portion of same is sold) the Vendor may make such use of the Condominium as may facilitate the foregoing including, but not limited to, the maintenance of any sales/rental or administration offices and/or model units and the advertising and/or showing of units and the display of signs and further, without limitation, the Vendor may make such use of the Condominium and the Lands (or any part or parts thereof) as may facilitate completion of the leasing of any non-residential space to be situate adjacent to the Condominium or any of the Adjoining Component.
Sales Office. Management Company shall sell, represent and promote the Convention Center through a sales office to be established in the Convention Center or at the adjoining hotel operated by the management company and through any national and international sales offices of Management Company and its affiliates, and Management Company will encourage the use of the Convention Center by businesses, trade associations, conventions, tourists, special groups, escorted and unescorted tours, incentive groups, conferences, travel agencies, airlines and other sources of Convention Center business. Management Company shall develop, implement and coordinate a sales program, including personal visits by the sales staff of the Convention Center and the corporate level sales staffs of Management Company and telephone and direct mail contacts. Management Company will represent the Convention Center at appropriate conventions and travel meetings and will list the Convention Center in printings of general trade bulletins. The cost and expense incurred pursuant to this article shall be the costs of the Management Company.

Sales Office. Operator acknowledges and agrees that Owner shall have the right to occupy up to 400 square feet of commercial space in the lobby of the Hotel in the area where the other commercial spaces are located, at a specific location within such area as shall be mutually agreed by Owner and Operator, for use by Owner as a real estate sales office for the sale and resale of timeshare and condominium units located in buildings developed by Owner or an Affiliate of Owner and other real estate (the "SALES OFFICE"), and for no other purpose, pursuant to a written lease agreement which, among other things, shall contain the terms and conditions set forth in this paragraph and address responsibility for utilities, insurance, standards of operation, etc. Operator acknowledges that Owner shall have the right to occupy the Sales Office at no charge during the Term of this Agreement and, if Operator or its Affiliate purchases the Hotel Lot, for so long as the Hotel is in operation, provided the Sales Office is continually operated by Owner with at least one trained sales person during the hours of 10:00 a.m. through 5:00 p.m. Monday through Friday, excluding holidays. Owner hereby agrees, and the Sales Office lease shall provide, that Owner shall subordinate its interest under the Sales Office lease to the lien of any mortgage against the Hotel Lot, provided the mortgagee delivers a non-disturbance agreement to Owner in form and substance reasonably acceptable to Owner. Sales Office. During the period from the Effective Date until Closing (or the earlier termination of this Agreement), Seller agrees to provide to Purchaser, at no additional cost to Purchaser, a unit within the Project for the sole purpose of Purchaser organizing and preparing to open on or after Closing a sales office for pre-sales of condominium units. The organization and preparation of such sales office may include, at Purchaser’s sole expense, refurbishing of the unit and installing furniture, fixtures and equipment therein. To the extent Purchaser terminates this Agreement or otherwise fails to close on the purchase of the Project, Purchaser shall promptly and at its expense return the unit to a good and rentable condition, and to the extent Purchaser would otherwise be entitled to a refund of any portion of the Escrow Deposit, such Escrow Deposit shall continue to be held until Purchaser returns such unit to a good and rentable condition. Notwithstanding anything contained in this Section 5.3 to the contrary, in no event shall Purchaser, or any of its officers, directors, members, employees, agents, contractors or licensees conduct any sales or marketing activities of any kind whatsoever until after Closing, nor shall any signs or other materials announcing, advertising or marketing the condominium units (or the conversion of the Project into condominiums) be placed anywhere on or near the Project. Any breach by Purchaser (or by any of its officers, directors, members, employees, agents, contractors or licensees) of this Section 5.3 shall constitute a default by Purchaser, entitling Seller to exercise is available remedies in Section 7.2 hereof.
