Sales Fee. Seller and Buyer warrant and represent each to the other that Xxxxxxxx Real Estate & Auction Company, Inc. and the Xxxx Company are the only brokers involved with the sale of the Property and that the commission shall be paid by the Seller. In the event that any other broker or other parties are entitled to commission, fee or other compensation relating to the sale of the Property as a result of Xxxxx’s dealings with such broker or other party, Buyer shall pay the same and hereby agrees to indemnify and hold Seller and Auction Company harmless from the payment of any such commission, fee or compensation which obligation of Buyer shall survive closing.

Sales Fee. (a) A Sales Fee shall be payable with respect to each Fee Period by LIFT to the Servicer, such payment to be made not later than the Payment Date immediately following the end of each such Fee Period.

If any other broker or other person claims to be entitled to any commission, fee or other compensation relating to the sale of the Property as a result of Buyer’s dealings with such other broker or person, Buyer shall indemnify and hold harmless Seller and Auction Company-Broker from and against such claim. This obligation of Buyer shall survive Closing.
Sales Fee. The General Partner may, in its sole discretion, charge certain Limited Partners an annual sales fee in advance equal to 1% of such Limited Partner’s Capital Account, commencing on the effective date o f such Limited Partner’s initial subscription, and on each anniversary date of the initial subscription thereafter.
