Common use of Sale to Third Party Clause in Contracts

Sale to Third Party. Any securities so offered that are not purchased by the Eligible Stockholders pursuant to the offer set forth in Section 5.1 above, may be sold by the Company, but only on terms and conditions not more favorable to the purchaser than those set forth in the notice to Eligible Stockholders, at any time after five (5) days but within sixty (60) days following the termination of the above-referenced 30-day period, but may not be sold to any other Person or on terms and conditions, including price, that are more favorable to the purchaser than those set forth in such offer or after such 60-day period without renewed compliance with this Section V.
