Sale Shares Consideration. Subject to Section 5, the total consideration for the sale and transfer of the Sale Shares (the “Share Purchase Price”) shall be the aggregate of (i) the product of (A) the Base Acquisition Price and (B) the total number of the Sale Shares as of the Completion Date, and (ii) if the Company declares any Distribution between the date of this Agreement and the Completion Date, the amount per Ordinary Share of such Distribution multiplied by the number of the Sale Shares as of the Completion Date, to the extent that such Distribution shall not have been paid to the Seller prior to the Completion Date.
