Common use of Sale Price Clause in Contracts

Sale Price. On the Closing Date, the Purchaser shall, upon satisfaction of the applicable conditions set forth in Article III, pay the CEF Purchase Price in the form of (i) cash and (ii) an increase in the Seller’s equity interest in the Purchaser (together, the “CEF Purchase Price”) as consideration for the CEF Assets sold and transferred by the Seller to the Purchaser pursuant to Section 2.1 hereof, which CEF Purchase Price shall be acknowledged by the Seller and the Purchaser to be the fair market value thereof.
