Sale of Unit or Location. In the event that, after the Effective Date, GSK proposes to sell any or all of its business units or locations that are subject to this CIA (including the terms of Appendix D), GSK shall notify OIG of the proposed sale at no GlaxoSmithKline LLC Corporate Integrity Agreement later than five days after the sale is publicly disclosed by GSK. This notification shall include a description of the business unit or location to be sold, a brief description of the terms of the sale, and the name and contact information of the prospective purchaser. This CIA shall be binding on the purchaser of such business unit or location, unless otherwise determined and agreed to in writing by the OIG.
Sale of Unit or Location. In the event that, after the Effective Date, Exactech proposes to sell any or all of its business units or locations that are subject to this CIA, Exactech shall notify OIG of the proposed sale at least 30 days prior to the sale of such business unit or location. This notification shall include a description of the business unit or location to be sold, a brief description of the terms of the sale, and the name and contact information of the prospective purchaser. This CIA shall be binding on the purchaser of such business unit or location, unless otherwise determined and agreed to in writing by the OIG.
Sale of Unit or Location. In the event that, after the Effective Date, RMC proposes to sell any or all of its business units or locations that are subject to this CIA, RMC shall notify OIG of the proposed sale at least 30 days prior to the sale of such business unit or location. This notification shall include a description of the business unit or location to be sold, a brief description of the terms of the sale, and the name and contact information of the prospective purchaser. This CIA shall be binding on the purchaser of such business unit or location, unless otherwise determined and agreed to in writing by the OIG.

In the event that, after the Effective Date, Forest proposes to sell any or all of its business units or locations related to the Promotional and Product Services-Related Functions or Regulatory Related Functions, Forest shall notify OIG of the proposed sale no later than five days after the date the sale is publicly disclosed by Forest. This notification shall include a description of the business unit or location to be sold, a brief description of the terms of the sale, and the name and contact information of the prospective purchaser. This CIA shall be binding on the purchaser of such business unit or location, unless otherwise determined and agreed to in writing by the OIG.

In the event that, after the Effective Date, Hill-Rom sells any or all of its business units or locations that are subject to this CIA, Hill-Rom shall notify OIG of the sale at least 30 days prior to the sale of such business unit or location. This CIA shall be binding on the purchaser of such business unit or location, unless otherwise determined and agreed to in writing by the OIG. Notwithstanding the foregoing, none of the notification obligations set forth in Section IV of this CIA shall apply to any of Hill-Rom’s business units or locations that Hill-Rom’s Post Acute Care Division uses solely as warehouses or repair facilities.

This CIA shall be binding on the purchaser of such business unit or location, unless otherwise determined and agreed to in writing by the OIG.

In the event that, after the Effective Date, Parkland proposes to sell any or all of its business units or locations that are subject to this CIA, Parkland shall notify OIG of the proposed sale at least 30 days prior to the sale of such business unit or location. This notification shall include a description of the business unit or location to be sold, a brief description of the terms of the sale, and the name and contact information of the prospective purchaser. This CIA shall be binding on the purchaser of such business unit or location, unless otherwise determined and agreed to in writing by the OIG.

This notification shall include a description of the business unit or location to be sold, a brief description of the terms of the sale, and the name and contact information of the prospective purchaser. In the event that, after the Effective Date, J&J or a J&J Pharmaceutical Affiliate proposes to sell any or all of its business units or locations that are subject to this CIA, J&J and/or the J&J Pharmaceutical Affiliates shall notify OIG of the proposed sale no later than five days after the sale is publicly disclosed by J&J or the J&J Pharmaceutical Affiliate. This notification shall include a description of the business unit or location to be sold, a brief description of the terms of the sale, and the name and contact information of the prospective purchaser. This CIA shall be binding on the purchaser of such business unit or location, unless otherwise determined and agreed to in writing by the OIG.
