Sale Documents. All books and records prepared or received in connection with the proposed sale of the Business, including offers received from prospective purchasers, and the right, title and interest of the Sellers under this Agreement;
Sale Documents. All books, records and other documents prepared or received in connection with the proposed sale of the Acquired Assets, including offers received from prospective purchasers, engagement letters with outside advisors and representatives, non-disclosure agreements with prospective bidders, and the right, title and interest of UCC and its Affiliates under this Agreement and any of the Related Agreements;
Sale Documents. All documents sufficient to satisfy the Lender that Borrower has acquired substantially all of the assets of Seller free and clear of liens and interests including but not limited to the Plant.
Sale Documents. Sale Documents Fee is 8,000 EUR (eight thousand euros). Agency is hereby inviting all interested parties to submit a wtitten request for purchasing the Sale Document not later then November 3, 2008. A written request for purchasing the Sale Documents shall be submitted to the address below, by mail, e-mail or facsimile, clearly marked with “Request for purchasing the Sale Documents – Sale Code: IZO 09/08». Upon receiving the request for purchasing the Sale Documents, an invoice for payment of the Sale Documents Fee and the Confidentiality Agreement for signature, shall be forwarded to the interested party’s authorized representative by mail, e-mail or facsimile. Xxxx signed Confidentiality Agreement shall be immediately faxed and mailed back to the Agency to the addresses below. Upon receipt of the signed Confidentiality Agreement, evidence of the power of attorney for the person who signed the Confidentiality Agreement, and evidence of payment of the Sale Documents Fee, the Agency shall send the relevant Sale Documents to the Participant by mail/e- mail, or hand it to its authorized representative. Detailed information on the procedure for sale of immovable property and equipment of hotel and tourist complex Ineks Zlatna obala, Sutomore, will be provided to the participants in this process within the Sale Documents that will be made available to interested parties as of September 22, 2008. The Agency shall not be held liable for any loss or delay that may occur in the delivery of any document.

Sale Documents. Sale Documents Fee is EUR 1,000.00 (thousand euros) if the Participant is a foreign legal entity or individual i.e. EUR 1.000,00 payable in RSD according to the median official exchange rate of the National Bank of Serbia as at the payment date (if the Participant is a domestic legal entity or individual) and is available for each subject of sale stated in Clause 1 separately. The Agency hereby invites all interested parties to file a written request for purchasing the Sale Documents for Subject of Sale they are interested for, not later than February 03, 2009. The written request for purchase of Sale Documents is delivered by e-mail or facsimile at the address below, clearly marked: « Request for purchasing the Sale Documents – Sale Code ». /enter the code/ Upon receiving the request, an invoice for payment of the Sale Documents Fee, shall be forwarded to the Tender Participant’s authorized representative by e-mail or facsimile. Sale Documents are prepared for each Subject of Sale separately and Participant who purchases Sale Documents for any of the stated subjects of sale can file an application for participation on the Public Bidding only for Subject of Sale for which he purchased Sale Documents. The Agency shall not be held liable for any loss or delay that may occur in the delivery of any document.
Sale Documents. Interested parties can purchase Public Bidding Documents, after receiving the invoice from the Privatization Agency, at the price of EUR 10,000 (ten thousand Euros), in RSD equivalent calculated at the median exchange rate of the National Bank of Serbia on the date of invoice. The purchase of the Sale Documents is mandatory, and the Confidentiality Agreement shall be signed at the collection thereof. Upon delivery of the evidence of payment, Sale Documents can be collected at the following address: Privatization Agency, Center for Auctions and Compulsory Liquidation, Terazije 00, 0xx Xxxxx, Room 511, from 08.30 to 16.30 hours, in the period from March 2nd, 2010 to March 10th, 2010. The Agency shall not be held liable for any loss or delay that may occur in the delivery of any document.
Sale Documents. The Companies shall have delivered to Lender an executed copy of the Purchase Agreement and executed copies of all other agreements, documents and instruments executed in connection with the Sale;
Sale Documents. At the Closing, or as soon thereafter as may be practicable (not to exceed two weeks from the date of Closing), the Seller shall deliver to the Purchaser all documents required to transfer title and ownership of the Technology, including the Patent Rights, to the Purchaser including, but not limited to, a duly executed Xxxx of Sale and any and all other documents which are reasonably deemed necessary by the parties or their respective attorneys to give effect to the transaction contemplated hereby.
