SALARY, BENEFITS AND EXPENSES. 4.1 The Company shall pay the Employee during the term of this Agreement a monthly salary of $14,166.66 (the "Salary"). Any salary or other compensation that the Employee receives from any other Group Company will, unless otherwise specifically agreed otherwise with the Employee at the time, be offset against the Salary receivable under this Agreement, thereby reducing the Salary payable under this Agreement by the net amount received from such other Group Company.
SALARY, BENEFITS AND EXPENSES. The UNIVERSITY shall pay to the HOME INSTITUTION  % of the following amount, as reimbursement for the services provided by the HOME INSTITUTION to the UNIVERSITY pursuant to this Agreement: base salary in the amount of $ per annum; and the actual cost of staff benefits and pay levy (estimated to be approximately  % of base salary); for each respective 12 month term of the Agreement, to be paid in accordance with section 1.11 of this Agreement. The parties agree that the amounts identified in section Error: Reference source not found will be modified to reflect any subsequent adjustments to which the SECONDEE would otherwise be entitled as an employee of the HOME INSTITUTION or by legislation provided that written notice to the UNIVERSITY shall be given forthwith by the HOME INSTITUTION. Arrangements respecting payment of expenses incurred shall be between the UNIVERSITY and the SECONDEE. However, the UNIVERSITY shall not be liable for any expenses incurred unless the UNIVERSITY gives it prior written approval. The HOME INSTITUTION shall not be responsible for any expenses incurred by the SECONDEE in the course of providing services to the UNIVERSITY pursuant to this Agreement With the exception of sick leave, any request by the SECONDEE for leave during the term of the Agreement (e.g. educational or vacation) shall require the prior approval of both the UNIVERSITY and the HOME INSTITUTION, which approval shall not be unreasonably withheld. The UNIVERSITY shall maintain a record of any leave (e.g. sick, vacation, educational) granted to the SECONDEE in the course of providing services to the UNIVERSITY. The UNIVERSITY shall provide this record to the HOME INSTITUTION on a monthly basis.

SALARY, BENEFITS AND EXPENSES. 4.1 The Company shall pay the Employee for the proper performance of his duties under this Agreement a monthly salary of $37,500 (or $450,000 on an annualized basis) (the "Salary"). Any salary or other compensation that the Employee receives from any Designated Company in relation to a secondment will, unless otherwise specifically agreed otherwise with the Employee at the time, be offset against the Salary receivable under this Agreement, thereby reducing the Salary payable wider this Agreement by the amount received from the Designated Company 4.2 The Salary will: (a) accrue from day to day and be payable by equal monthly installments in arrears by not later than the last working day of each month, (b) be payable in lieu of any other fees or remuneration, except payments made pursuant to the MITI International Relocation Policy or any Agreement on relocation or secondment, of any description which the Employee might be entitled to (or may in fact) receive from the Company or, any other Group Company or any other company or association in which the Employee holds office as a nominee or representative of the Company or any Group Company (and the Employee shall, at the discretion of the Board, either waive his right to any such fees or remuneration or deliver the same to the Company forthwith upon receipt); (c) be paid by credit transfer to the account nominated by the Employee from time to time; and (d) be subject to set-off by the Company from time to time in respect of any liability of the Employee to the Company or any other Group Company, provided Employee is given notice in advance of such off-set and ample time to remedy the liability by other means. 4.3 In addition to the Salary payable to the Employee, the Employee will be eligible for an annual bonus, based on the MITI group bonus plan, as it may exist or be amended from time to time. 4.4 The Employee shall be responsible for the payment of all taxes payable in respect of the amounts paid to him under this Agreement. All payments to the Employee hereunder and under any agreement entered into pursuant to Sections 1.2 and 1.3 shall be subject to deduction for withholding taxes or other items required to be deducted by an employer pursuant to the laws of the country of which the Employee is a citizen or resident and/or in which he is rendering services, as applicable.
