Common use of Rules by Trustee, Paying Agent and Registrar Clause in Contracts

Rules by Trustee, Paying Agent and Registrar. The Trustee may make reasonable rules for action by or a meeting of Securityholders; provided that Securityholders representing a majority of the outstanding principal amount of the Securities of any Series shall be entitled to direct the Trustee to call such a meeting. The Registrar and the Paying Agent may make reasonable rules for their functions.

The Trustee shall provide the Company reasonable notice of such rules; provided that Securityholders representing a majority neither prior notice to the Company of such rules nor prior approval by the outstanding principal amount Company of the Securities of any Series such rules shall be entitled to direct the Trustee to call such a meetingrequirement for their effectiveness. The Registrar and the Paying Agent may make reasonable rules for their functions.
